  • Schoenherr, BPV Grigorescu Stefanica, and BPV Huegel Advise on HS Timber Group’s Sale of HS Timber Productions Sebes to Ziegler Group

    Schoenherr has advised HS Timber Group on its sale of HS Timber Productions Sebes to Ziegler Group. BPV Grigorescu Stefanica and BPV Huegel advised the buyer.

    Closing is expected in mid-2023, pending regulatory approval.

    With more than 600 employees, HS Timber Productions Sebes operates a sawmill and other industrial wood processing activities at the Sebes site.

    HS Timber Group is a Vienna-based wood processing company, that is active in the timber industry and in the bioenergy sector throughout the CEE region, exporting its products to 70 destinations.

    Founded in 1948, Ziegler Group specializes in wood processing. The company originates from the northern Upper Palatinate in Bavaria and has locations in Europe.

    The Schoenherr team was led by Partners Christian Herbst and Maximilian Lang and included Partners Volker Weiss, Madalina Neagu, and Narcisa Oprea, Senior Attorney-at-Law Claudiu Stan, Attorney-at-Law Silviu Lazar, and Associate Markus Fasching.

    The BPV Grigorescu Stefanica included Managing Partner Catalin Grigorescu, Partner Anca Albulescu, and Managing Associates Nicolae Ursu, Iulia Dragomir, and Cristina de Jonge.

    The BPV Huegel team was led by Partner Elke Napokoj and included Partners Stefan Gaug and Gerhard Fussenegger.

  • Sorainen’s Crespect Receives Legal-Tech Product Development Grant and Closes Seed Investment Round

    Sorainen’s cloud-based legal practice management spin-off Crespect has received a EUR 227,000 innovative product development grant from the European Regional Development Fund and has also closed its EUR 605,000 seed investment round.

    Crespect, initially designed as an in-house system by Sorainen, develops an intelligent cloud-based legal practice management system for law firms globally. The commercial launch of the software is scheduled for autumn, 2023.

    “The system will simplify and streamline lawyers’ daily tasks, as well as provide business insights to enable them to manage client and international partner relationships with ease,” Sorainen informed. “The new funding will help to finalize the commercial version of the system and launch it internationally.”

    “Law firms are typically not known for developing IT solutions,” Crespect Co-Founder and CEO Lauri Laheb commented. “Moreover, they are typically frustrated by solutions created by general IT vendors, who do not understand law firms’ ways of working. After Sorainen alumni and partnering law firms started enquiring about the digitalization tool they use internally, the decision to develop an even more enhanced practice management solution for global markets was born. Several law firms from different countries have already joined the Crespect early adopters’ community and they will start testing and sharing their feedback in order to advance the product further.”

  • Schoenherr and BDK Advokati Advise on Adriatic Bank’s Acquisition of Expobank

    Moravcevic, Vojnovic, and Partners in cooperation with Schoenherr has advised the owner of the Adriatic Bank Podgorica on the acquisition of Expobank Belgrade. BDK Advokati advised the shareholders of Expobank Belgrade.

    The Adriatic Bank Podgorica is the fifth-largest bank in Montenegro in terms of asset size and the youngest bank in the Montenegrin market.

    According to Schoenherr, “this transaction is a step towards expanding the successful business of Adriatic Bank Podgorica, which has seen continuous growth since the change in ownership in 2020. The financial stability of the bank is based on profitable operations and liquidity indicators that are among the highest in the system, while its steady growth has been continuously supported by the owner through additional capital and retention of realized profits.”

    Schoenherr’s team included Partners Matija Vojnovic, Vojimir Kurtic, Dusan Obradovic, and Danijel Stevanovic.

    The BDK Advokati team included Partner Vladimir Dasic and Associate Sanja Dedovic.

  • CMS Appoints Five New Partners Across CEE

    A new promotion round saw 62 lawyers become Partners at CMS – spanning 25 cities across the UK, Europe, the Middle East, Africa, and Latin America – including Arno Zimmermann, Hans Lederer, and Klaus Pateter in Vienna, Alicja Zalewska-Orabona in Warsaw, and Mihai Jiganie-Serban in Bucharest.

    A corporate and M&A, litigation, and arbitration specialist, Zimmermann joined CMS in 2013. Earlier, he had spent two years with the Vienna office of Skadden, Arps, Slate, Meagher & Flom.

    Lederer, an expert in intellectual property, technology, media & telecoms, and commercial law, joined CMS as an Associate in 2009. He became a Senior Associate in 2014 and, finally, a Counsel in 2018, before making Partner this year.

    Pateter, a technology, media & telecoms, commercial, and start-up legal expert, joined CMS in 2018 as an Associate and became an Attorney at Law in 2019. Before becoming a part of CMS, he spent three and a half years as an Associate with Held Berdnik Astner & Partner.

    Warsaw-based former Counsel Zalewska-Orabona is an intellectual property and trademark expert. She has been with CMS since 2019 when she joined as a Senior Associate. Before that, she spent over three years with Baker McKenzie as an Associate and, earlier, over two years with the European Union Intellectual Property Office between 2014 and 2016.

    Jiganie-Serban, a former Senior Counsel, is a Bucharest-based dispute resolution and white-collar crime specialist. He has been with CMS for over three years, having joined in 2020 as Head of the firm’s Criminal Defense practice. Before that, he spent 15 years with Serban & Asociatii.

  • Tugce Yalcin To Head New CEE Turkish Desk at Taylor Wessing Vienna

    Taylor Wessing Counsel Tugce Yalcin – who joined the firm in March 2023 from DLA Piper – will head the firm’s newly established CEE Turkish Desk in Vienna.

    According to Taylor Wessing, Yalcin “advises her clients in her native languages German, English, and Turkish. As a dual-qualified lawyer, Attorney at Law in Austria, and Solicitor of the Senior Courts of England and Wales, Tugce is a Counsel in the Corporate/M&A practice group and has ten years of experience.”

    Prior to joining Taylor Wessing, Yalcin spent six and a half years with DLA Piper. Before that, she spent eight months as an Associate with Harrer & Harrer and, earlier still, nine months as an Associate with Raits Bleiziffer.

    “Economically, the CEE region offers enormous potential for Turkish companies and vice versa,” said Yalcin. “Our mission and strength are to provide these companies with first-class lawyers who are not only experts in their field of law, but also know the market very well.”

  • Norton Rose Fulbright and Havel & Partners Advise Santander Bank Polska on Financing for Exact Systems

    Norton Rose Fulbright and Havel & Partners have advised senior lender Santander Bank Polska on a refinancing facility for Exact Systems. Barrocas reportedly advised Santander Bank Polska on Portuguese legal matters. Rymarz Zdort Maruta reportedly advised Exact Systems. MHJ Legal reportedly advised mezzanine lender Accession Capital Partners.

    Exact Systems is a European provider of quality control solutions for the automotive industry.

    According to Norton Rose, “the transaction was completed swiftly thanks to a great cooperation between experienced teams at Santander Bank Polska, Exact Systems, and Accession Capital Partners – who acted as mezzanine lender and investor – and the support of capable and efficient counsels in all relevant jurisdictions.”

  • Ibrahimovic & Co Launches Turkish Desk with Addition of Feyza Gerger Erdal

    The Bosnia & Herzegovina-based law firm Ibrahimovic & Co has launched its dedicated Turkish Desk with the addition of Feyza Gerger Erdal, who will head the new department. 

    According to Ibrahimovic & Co, “the Department for Business with Turkey is headed by lawyer and team member Feyza Gerger Erdal, founder of the Istanbul-based Erdal Law office, which has experience in corporate law, mediation, and labor law.”

    Erdal, who has been at the helm of the Erdal Law office since 2014, has previously spent almost seven years with the Gur Law Firm, starting as an Associate in 2007 and making Partner in 2014.

  • Helml Rechtsanwaelte Joins Aliant Law

    Austria-based Helml Rechtsanwaelte has become part of Los Angeles-based Aliant Law.

    According to Aliant Law, its Austrian affiliate law firm has, since 2014, “been advising its clients regionally from two Austrian offices and is now also globally networked with lawyers in over 20 countries in Aliant Law.” Aliant Austria is managed by two Managing Partners, Friedrich Helml and Julia Helml.

    Friedrich Helml has been at the helm of Helml Rechtsanwaelte since 2014. Before that, he spent over three years as Attorney at Law with SCWP Schindhelm.

    Julia Helml has been with Helml Rechtsanwaelte since 2021. Prior to that, she spent over six years with Schoenherr, between 2015 and 2021, and over three years with SCWP Schindhelm, between 2012 and 2015.

  • Ellex and Rask Advise on GT Tarkvara’s Sale to Span

    Ellex has advised Estonian software company GT Tarkvara on its sale to Croatia’s Span. Rask advised Span on the deal.

    GT Tarkvara is an Estonian software management company that focuses on projects related to digital transformation and cloud and cyber security. Span is a Croatian IT company.

    “Span and GT Tarkvara are leading Microsoft partners and with this acquisition, we have combined our extensive know-how and experience,” GT Tarkvara owner and member of the management board Taivo Remmelgas commented. “I am happy that our existing customers will now have access to advanced cloud and cyber security services based on Span’s longstanding experience in operation with large, global companies.”

    Ellex’s team included Partner Risto Vahimets and Senior Associate Alla Kuznetsova.

    Rask’s team included Partner Timo Kullerkupp and Attorneys Karl-Kristjan Kahm, Kai Villemson, and Karl Erik Esko.

  • Bernitsas Law Advises Intrakat on Acquisition of Aktor

    Bernitsas Law has advised Intrakat on its acquisition of Aktor from Ellaktor and Aktor Concessions.

    Closing is expected in the fourth quarter of 2023, pending regulatory approval.

    “As part of the transaction, Intrakat has also agreed to guarantee the repayment of Aktor’s outstanding intragroup indebtedness of up to EUR 114 million within a certain period,” Bernitsas Law informed.

    The Intrakat Group provides infrastructure public projects, concessions, and environmental and real estate development projects in Greece.

    Ellaktor subsidiary and construction arm Aktor provides services in the fields of construction, photovoltaic parks, quarry management, technical facilities, and project management.

    Bernitsas Law previously advised Intrakat on raising EUR 100 million in equity capital and listing its new shares on the Athens Exchange (as reported by CEE Legal Matters on February 8, 2023). 

    The Bernitsas Law team included Partners Nikos Papachristopoulos and Marina Androulakakis and Senior Associates Sofia Kontou and Tania Patsalia.

    The firm could not disclose further details on the deal.
