    Gowling WLG’s 23-strong global partnership promotion round, announced on January 10, 2019, included Moscow lawyer Maria Aronikova.

    Aronikova, who joined Gowling in 2011, specializes in litigation, trademark rights and copyright protection, unfair competition, and domain disputes. Prior to joining the firm she worked with PwC Legal for one year, and before that with the Uskov & Partners Law Firm.

  • Court Proceedings in Russia to be Improved

    On July 30, 2018, Russian President Vladimir Putin signed into law two bills approved by the Russian Parliament aimed at improving commercial, civil, administrative and criminal proceedings in Russia (the “Bills”).

    The Bills, which will enter into force on September 1, 2019, require the audio recording of all civil and criminal proceedings and the automated allocation of cases between judges, allow preliminary court hearings to turn into main court hearings, clarify the status of judicial assistants, and introduce certain disciplinary liabilities for judges.

    Legal proceedings in Russia should become quicker and more transparent, and court decisions should become more independent and less susceptible to influence by interested third parties.

    And the outcome of cases should become, as a result, more predictable.

    Audio Recordings

    Audio recordings of court hearings will be introduced into civil and criminal proceedings. Such recordings will be mandatory only in first instance courts and on appeal, with one exception – no audio recordings will be made at trials specifically closed to the public by the court. Persons involved in legal proceedings will have the same rights with audio recordings as they now do with traditional written minutes – to get familiar with the recordings, and to object to any inaccuracies or incompleteness. This also includes the right to review the recordings and submit comments.

    Automated Allocation of Cases

    According to the Bills the composition of the court considering a particular case, regardless of the type of procedure, will be determined by an automated system, which will take into account the workload and specialization of judges in each particular court. Should this system not be available for use, the court should be formed in another way to exclude any possible interference by interested parties. Such approach will increase the independence and autonomy of the judges as well as decrease potential corruption elements.

    Preliminary Court Hearings Become Main Court Hearings

    To accelerate the consideration of civil and administrative cases, the Bills make it possible for a preliminary court hearing to turn into a main court hearing where the case may be considered on the merits.

    In this regard, all the following conditions must be met: (1) the court finds the case well-prepared; (2) the hearing is attended by all persons participating in the case – or in their absence, where all persons were duly informed of the hearing, and no objections were raised to the case being heard in their absence; and (3) the case does not need to be heard by a panel of judges.

    Status of Judicial Assistant

    The Bills set the status of judicial assistants in civil, criminal, and administrative proceedings just as was done in the Russian Commercial Procedure Code and regulate the powers of judicial assistants in the course of preparation and during the consideration and adjudication of cases.

    Those participating in legal proceedings will be able to challenge the allocation of a particular judicial assistant in a particular case.

    Alliance Legal Successful for Musician Alexander Revvy in Copyright Dispute

    The Alliance Legal Consulting Group has persuaded the Kuntsevsky District Court of Moscow to dismiss a claim brought by Ruslan Kagarmanov for copyright infringement against firm client Alexander Revva regarding the song “Chika.”

    Artem Grishin, a lawyer at the Moscow Alliance Legal Law Bureau, who defended Alexander Revva’s interests in court, commented that the court’s verdict demonstrates that, “in addition to the coincidence of song titles, first of all, the borrowing of both musical and linguistic (semantic) components must be proved, which was not done by the plaintiff in the present case.”

    According to the firm, “the court decision … once again confirms that the song ‘Chika,’ performed by Alexander Revva, is an original musical product created by composer Denis Kovalsky, loved by the listener, and deservedly leading on all Russian charts.

    CMS Advises Shareholders of WSCB on Sale of Stake to VTB Group

    CMS Russia has advised the shareholders of Western Siberian Commercial Bank on the sale of shares representing a total of 71.8% of the bank’s share capital to VTB Bank.

    According to CMS, “synergies generated by this transaction will include Western Siberian Commercial Bank (WSCB) customers gaining access to the technological, product, and financial capabilities of the VTB group. Full integration of the banks is scheduled for completion in 2020 when WSCB will fully migrate to VTB brand.”

    White & Case Moscow Assists on Resource Capital Fund VII’s Acquisition of Minority Stake in Kazakhstan Gold Mine

    Lawyers from the Moscow office of White & Case have advised US-based private equity fund Resource Capital Fund VII L.P., on its indirect equity acquisition of 35 percent of RG Gold, a gold mining company based in Kazakhstan.

    White & Case describes Resource Capital Funds VII L.P. as “one of the leading global private equity funds focused on mining projects. Verny Capital, a major Kazakhstan private equity fund, owned RG Gold and remains a majority shareholder.”

    “This has been an important transaction and a new type of deal whereby a private fund has made an investment into the local mining project,” said Maxim Telemtayev, White & Case’s Executive Partner in Astana, who led the deal team. 

    In addition to Telemtayev, the White & Case team advising on the transaction included Moscow-based Counsel Adam Smith, Local Partner Nikolay Feoktistov, and Associate Evgeny Chernyavsky, and Astana-based Associates Tatyana Lee and Assel Meiramgaliyeva.

    Bryan Cave Leighton Paisner is advising KOPY Goldfields AB, a Swedish gold exploration company, on the sale of its subsidiary Taiga LLC, which holds several exploration and production licenses in Russia’s Irkutsk Region.

    According to BCLP, “Kopy Goldfields AB (publ), listed on NASDAQ First North in Stockholm, is a Swedish gold exploration company operating in Russia’s Irkutsk and Amur Regions, which are two of the world’s areas richest in gold. The company currently holds 14 licenses, grouped into three projects, which entitles them to the exploration and production of gold. Kopy Goldfield’s strategy is to create value by identifying and acquiring high potential gold projects, and then carrying out prospecting and exploration there until they are ready to be sold for cash or developed further in cooperation with a JV partner.”

    The Moscow office of Bryan Cave Leighton Paisner has advised Miratorg Agribusiness Holding on its acquisition of several companies from RAV Agro holding located in the Oryol region of Russia from the PPF Group.

    Miratorg, which was established in 1995,  is a Russian privately-held agribusiness company based in Moscow. The company which is one of the largest producers and distributors of meat products in Russia, is a subsidiary of Cyprus-based Agromir Ltd.

    EPAM Successful for Petersburg Tractor Plant in Claim of Unfair Competition Against Spetsstroymash

    Egorov, Puginsky, Afanasyev and Partners has successfully defended the interests of the Petersburg Tractor Plant in an unfair competition dispute.

    EPAM describes JSC Petersburg Tractor Plant (JSC PTZ) as “one of the oldest and one of the largest Russian tractor manufacturers,” and reports that “tractors and other road equipment manufactured by PTZ, manufactured under the Kirovets brand since the 1960s, have a distinctive appearance and special identification numbers of models that have become widely recognized among consumers for more than 50 years of production.”

    EPAM’s lawyers demonstrated that equipment produced by a competitor, Spetsstroymash LLC, “imitated the appearance of the Kirovets equipment, including special model identification numbers, which could entail the mixing of goods from competitors in the tractor products market [and] also violates the exclusive rights to the principal’s industrial design protected by a patent.”

    The Russian office of Bryan Cave Leighton Paisner has advised Raven Property Group Limited on a conditional agreement to acquire a completed and fully-let warehouse of 64,375 square meters and 21.5 hectares of adjacent land in Nizhny Novgorod for RUB 2.8 billion from a fund managed by Amstar. The acquisition remains subject to the satisfaction of certain escrow arrangements.
