    Ilya Dedkovskiy Appointed Head of Bankruptcy at KIAP

    Attorney Ilya Dedkovskiy has been appointed Head of the Bankruptcy practice at the KIAP law firm in Moscow.

    Dedkovskiy joined the KIAP litigation team as a junior associate in 2010, and according to the firm he “has made it all the way from a novice specialist to a lawyer of the highest level with a supreme practical experience.” He specializes in supporting “complex disputes on challenging transactions” and “holding management liable for company debts.” 

    “I’m grateful to colleagues for their trust,” Dedkovskiy commented. “We will further develop the practice, focusing primarily on the advancement of such areas as protection against unreasonable avoidance of bankruptcy transactions and protecting beneficiaries and company management from claims of subsidiary liability for company debts.”

    In 2009 Dedkovskiy graduated from the Law Department of St. Petersburg State University, and in 2011 he graduated from the master course at the Russian School of Private Law.

    KIAP Managing Partner Andrey Korelskiy added that “Ilya is a brilliant lawyer, we wish him new victories and professional achievements!”

    Liniya Prava Partner Ruslan Nagaybekov has been elected new Managing Partner of the firm, taking over from Andrey Novakovsky, who will now lead the firm’s Board of Partners.

    Nagaybekov, who heads the Liniya Prava Corporate and Commercial Law practice, focuses on corporate law, mergers and acquisitions, project finance, particularly on metallurgy and natural resources projects.

    Before joining Liniya Prava in 2014, Nagaybekov was Director of the Legal Department at Kirovsky Zavod for four and a half years, Head of Legal at Severstal-metiz for a year, and Head of the Russian Practice in the legal department of RUSAL for four and a half years.

    Alliance Legal CG is representing the interests of Evgeniy Lebedev, the founder of the pro100business social Internet community, before the Central Court of Chelyabinsk.

    According to Alliance Legal, “the case concerns the lawsuit of the Prosecutor’s Office of the Chelyabinsk Region against the owners of multiple domain names for closing websites containing information related to cryptocurrency. The Prosecutor’s case targets the members of the pro100business community because they are users of the international trading platform AirBitClub, which allows people to access cryptocurrency exchanges. The Central Bank and the Prosecutor’s Office alleged the existence of a financial pyramid in these business activities.”

    According to Alliance Legal,” the Prosecutor’s office is yet to provide an adequate explanation” as to why Lebedev is being targeted as well, other than that “his Internet resource actively acquaints users with the crypto industry.”

    The next court hearing for the case will take place on July 22, 2019.

    Alrud Advises VTB on Acquisition of Novorossiysk Grain Terminal from NSCP

    Alrud has advised the VTB Group on its RUB 36 billion acquisition of 100% shares in Novorossiysk Grain Terminal LCC from the NSCP Group.

    The transaction is scheduled to close in the second quarter of 2019.

    The Novorossiysk Grain Terminal is a complex for transshipment of grains and oilseeds in the Russian port of Novorossiysk. The capacity of grain and oilseeds for export is over 3.6 million tons per year.

    The NCSP Group, which is a member of PJSC Transneft Group, is a port operator in Russia that is traded on the Moscow Exchange and London Stock Exchange. The NCSP Group consists of PJSC Novorossiysk Commercial Sea Port, LLC Primorsk Trade Port, LLC Novorossiysk Grain Terminal, JSC Novorossiysk Ship Repair Yard, JSC NCSP Fleet, JSC NLE, LLC IPP, Baltic Stevedore Company LLC, and JSC SFP.

    Former Orrick Partner Konstantin Kroll Joins Dentons Moscow

    Former Orrick Partner Konstantin Kroll has joined Dentons’ Moscow office as a partner in the Corporate and M&A practice.

    Kroll, who is dual-qualified in Russia and England and Wales, has over two decades of experience advising corporate clients and financial institutions on complex cross-border transactions in Russia and the broader Commonwealth of Independent States. He graduated from the Moscow State University in 1998 and obtained an LLM from the University of Manchester in 2001.

    Kroll joined Orrick in 2014, spending the first four years in the firm’s Moscow office, then, when the firm closed that office at the end of 2017, as Head of the Russia & CIS Desk in London. Before that he spent a little over three years as a partner with Jones Day in Moscow, and 14 years with Allen & Overy, the last three as partner.

    The Buzz in Russia: Interview with Vassily Rudomino of Alrud Law Firm

    There are a number of significant legislative changes in Russia, says Alrud Senior Partner Vassily Rudomino, citing the strengthening of competition regulations in digital markets and new data protection laws as among the major ones. 

    “Competition regulation digitalization is a trend that affects many markets, including Russia,” says Rudomino. “Since competition legislation was not able to keep up with the pace of change, the Federal Antimonopoly Service – the FAS Russia – introduced amendments to the Competition Law (the so-called Fifth Antimonopoly Package) to address the new challenges.” According to Rudomino, in addition to adapting the regulations to the complexities of digital markets, the amendments that are expected to be enacted in the first half of 2020 address voluntary commitments and monitoring trustee concerns. “That brings Russian competition legislation closer to that of the European Union,” he says.

    There are two important trends in Russian legislation related to data protection, Rudomino says: (1) increasing regulatory requirements and the powers of the data protection authority, and (2) harmonizing Russian data protection laws with European legislation. The first includes the enforcement of the Data Localization Law, which obliges all data controllers to process personal data collected in Russia inside the country. In 2016, LinkedIn was blocked in Russia due to non-compliance with this law, says Rudomino, and “now Russian lawmakers are considering a new draft law, which will introduce new liabilities for breach of the Data Localization Law,” including fines of up to RUB 18 million (approximately EUR 250,000).

    New rules on conducting audits by the data protection authority also came into force in 2019, Rudomino says. “These rules allow more frequent audits of certain data controllers, in particular from companies transferring data to countries that fail to provide adequate protection of personal data – like the USA – and from companies processing biometric-personal data,” he explains.

    When it comes to harmonizing data protection laws with European legislation, Rudomino says, recently Russia signed a protocol modernizing Strasbourg Convention 108 on the protection of individuals’ rights in the case of automated processing of personal data. “In this regard, Russia will have to incorporate several significant amendments into its national legislation,” he says, adding that among the amendments is a mandatory procedure for data breach notification, another introducing genetic data as a new type of sensitive data, and others strengthening the data minimization principle and the privacy-by-design concept. 

    Lastly, he says, residents entering Russia’s Special Economic Zones in 2020 and 2021 are expected to receive increased tax benefits. “The government wants to improve the regime of the special economic zones to attract more new investments and try to find a way to give more energy to the economy,” he says. He sighs that the current 1.45% growth rate is “not enough for an economy like Russia’s.”

    Finishing up, Rudomino points to the continued effect of sanctions on the Russian economy. “We see that sanctions and the geopolitical crisis are impacting the legal businesses here,” he says, pointing to the decreased presence of international law firms in the market. Although he admits, “this helps Russian firms to continue gaining a foothold on international competitors and stay focused on exploiting the opportunity to the maximum.”

    Karen Shakhnazarov, Darya Nosova, Inna Perelekhova, Natalya Pushkarskaya have been promoted to Partner at O2 Consulting, and Tatyana Safonova has joined the firm as a Partner.

    Karen Shakhnazarov has been Head of M&A and Cross-Border Transactions since joining the firm in 2016. Previously he worked at Skadden, Arps, Slate, Meagher & Flom; Patterson, Belknap, Webb & Tyler; Salans; and Dewey & LeBoeuf. He is a Member of the New York Bar Association. He graduated from Moscow State University and obtained his Master’s from Columbia University in New York. 

    Darya Nosova, who joined O2 in 2015, is Head of the firm’s FinTech Practice. She has over 20 years of experience in corporate law, investments, and FinTech. Before joining O2 she worked at RUSLAWpractic and at Andrey Gorodissky & Partners. 

    Inna Perelekhova and Natalya Pushkarskaya lead O2 Consulting’s Family Law practice. Perelekhova,who joined the team in 2011, is also a Head of Swiss Representative office, while Pushkarskaya who has been with O2 Consulting for 14 years, is Head of the Private Wealth Practice. Pushkarskaya studied law at the Kutafin Moscow State Law University.

    Tatyana Safonova has over 25 years of experience in finance, tax, and insurance. Prior to joining the O2 Consulting team, she worked as Head of Tax at the Russian Direct Investment Fund. She has also worked at the Russian Federal Tax Service and KPMG.

    Russia’s Norland Legal and NewLawyers law firms have merged and will operate as Lurye, Chumakov & Partners going forward. The newly established law firm will be co-managed by Partners Vladislav Lurye and Andrey Chumakov.

    Lurye, Chumakov & Partners will consist of eight lawyers specializing in private equity and venture capital investment transactions, M&A, restructuring projects, and the establishment of Russian, and foreign investment funds.

    Prior to the establishment of Lurye, Chumakov & Partners, Vladislav Lurye managed Norland Legal, which was established in 2015 and focused on investment funds, venture capital investments, M&A, and digital and Fintech projects. 

    Andrey Chumakov was managing partner at NewLawyers, which was founded in 2016 and specialized in corporate restructurings, tax consulting, and IT.

    CMS Advises S8 Capital on Sale of ELT-Poisk

    CMS Russia has advised S8 Capital on the sale of ELT-Poisk — a motor insurance and lending platform that provides development and implementation of IT solutions for automating the interaction of car dealers, leasing companies, insurance companies, and banks — to an unidentified foreign private fund specializing in FinTech investments.

    The transaction value was not disclosed. 

    S8 Capital is a diversified Russian holding company with assets in the financial and telecommunications sectors, e-commerce, digital media, and retail. All the businesses are engaged in high-tech products and services based on big data. The founder and shareholder of S8 Capital is Russian businessman Armen Sarkisyan.

    The CMS team was led by Partner Hayk Safaryan, supported by Associates Mikhail Panferov and Vladislav Eltovskiy.

    CMS said it was unable to disclose additional information about the deal.

    Tomashevskaya & Partners has advised MaximaTelecom on a joint venture agreement with Gazprom-Media Holding for a new brand, named Quant.

    MaximaTelecom is a Russian company specializing in the development and commercialization of public wireless networks as well as being the Wi-Fi network operator in the Moscow Metro and on Russian public transport systems.

    Gazprom-Media Holding is a diversified media holding operating in Russia and Eastern Europe.

    According to Tomashevskaya & Partners, Gazprom-Media Holding obtained a 51 percent stake of shares in the business. The new company will be led by the team of MaximaTelecom and the board of directors will have both Gazprom-Media Holding and MaximaTelecom representatives.

    MaximaTelecom invested its knowledge and technology in the sphere of data analysis and AdTech targeting solutions in the JV, Tomashevskaya & Partners reports, while Gazprom-Media Holding provided a part of its media inventory for monetization.

    The Tomashevskaya & Partners team consisted of Managing Partner Zhanna Tomashevskaya and Counsel Dmitry Lafitskiy.
