  • A&O Shearman and Linklaters Advise on FLE’s Acquisition of Havi Distribution Center from Carroll International Investments

    Allen Overy Shearman Sterling has advised FLE on its acquisition of the Havi Distribution Center from Carroll International Investments. Linklaters advised Carroll International Investments.

    FLE is a real estate investment advisor, headquartered in Vienna.

    According to A&O Shearman, the Havi Distribution Center, situated in the Zeran I&L cluster of Warsaw, encompasses 12,800 square meters of gross leasable area with extensive cold storage facilities.

    The A&O Shearman team included Partner Michal Matera, Counsel Piotr Przybylski, Attorney at Law Natalia Stys, and Paralegal Aleksander Tarasiewicz.

    The Linklaters team included Counsel Adriana Andrzejewska, Managing Associates Ewa Sinkiewicz and Michal Nocon, and Associate Aleksandra Mielniczuk.

  • Dentons Advises BGK on USD 60 Million Export Financing for Molo Group

    Dentons, working with Griffiths & Partners and Massiah Law, has advised Bank Gospodarstwa Krajowego on a long-term investment loan of up to USD 60 million granted to the Molo Group, owned by the Slominski family. JedwabnyLegal, Isolas and Miller, Simons and O’Sullivan reportedly advised the Molo Group.

    According to Dentons, the financing will support the development of a hotel complex on Providenciales, the main island of the Turks and Caicos archipelago in the Caribbean. The complex, comprising 251 rooms and suites, includes two modular hotels – the 4-star boutique Indigo hotel (scheduled for completion by the end of 2025) and the 5-star Kimpton hotel (scheduled for completion in the first half of 2027). The buildings will be constructed using equipment and modules manufactured in Poland.

  • CK Legal Advises City of Kielce on Sale of Korona Kielce

    CK Legal Chabasiewicz Kowalska has advised the City of Kielce on the sale of 99% of Korona shares to Korona 4ever, a company owned by Lukasz Maciejczyk, with the city retaining a 1% stake.

    Korona Kielce is a professional football club based in Kielce that competes in the Ekstraklasa for the 2024-25 season. According to CK Legal, this transaction marks the beginning of a new chapter as Korona Kielce transitions into private ownership. 

    The CK Legal team included Founding Partner Agata Kowalska, Senior Associate Tomasz Maslak, and Associate Zuzanna Durbacz.

  • Rymarz Zdort Maruta Mints Five New Partners

    Rymarz Zdort Maruta has promoted Lukasz Lech, Adam Puchalski, Krzysztof Rembierz, Maria Szczepanska, and Piotr Zawacki to Partner.

    Lech’s primary area of focus is energy and natural resources. He has been with the firm since 2021 when he joined as Counsel. Earlier, he worked at A&O Shearman, first as a Junior Lawyer between 2011 and 2012, then as an Associate between 2012 and 2014, and finally as a Senior Associate between 2014 and 2021.

    Puchalski focuses on regulatory issues related to the financial sector. He joined Rymarz Zdort Maruta in 2022 as Counsel. Earlier, he worked at Bank Pekao between 2018 and 2022, most recently as the bank’s Director of the Office of Strategic Projects. Earlier still, he was a Senior Associate with Greenberg Traurig between 2012 and 2018 and an Associate with Dewey & LeBoeuf between 2009 and 2012.

    Rembierz specializes in tax. He joined Rymarz Zdort Maruta in 2020 as a Senior Associate and became Counsel in 2024. Earlier, he had three separate stints with Deloitte, firstly as a Tax Consultant between 2010 and 2012, then as a Senior Tax Consultant between 2013 and 2015, and finally as a Manager between 2018 and 2019. He worked for Arena Tax between 2015 and 2018, and for GWW as a Lawyer between 2012 and 2013.

    Szczepanska focuses primarily on white-collar crime. She was a Senior Associate with the firm between 2020 and 2022 when she was promoted to Counsel. Earlier, she was an Associate with Weil, Gotshal & Manges between 2014 and 2020. Earlier still, she was a Lawyer with Elzanowski Cherka & Wspolnicy between 2012 and 2014.

    Zawacki’s area of primary focus is tax. He joined Rymarz Zdort Maruta as a Senior Associate in 2020 and became a Counsel in 2021. Earlier, worked at Deloitte as a Tax Consultant between 2006 and 2008, a Senior Tax Consultant between 2012 and 2013, a Tax Manager between 2013 and 2015, and finally a Senior Tax Manager between 2015 and 2019. Moreover, he worked at PwC as a Tax Consultant between 2008 and 2009 and as a Senior Tax Consultant between 2009 and 2012.

  • A&O Shearman Advises ISP on Acquisition of American School of Wroclaw

    Allen Overy Shearman Sterling has advised International Schools Partnership Limited on its acquisition of the American School of Wroclaw.

    International Schools Partnership Limited is an educational platform backed by Partners Group and OMERS and operator of 105 schools across 25 countries.

    According to A&O Shearman, established in 2011, ASW is recognized as the leading educational group in southern Poland, operating facilities from nursery to high school with a strong reputation for academic excellence.

  • White & Case Advises on Establishment of Play’s PLN 3 Billion Bond Issuance Program and Issuance of PLN 700 Million Green Bonds

    White & Case has advised P4 on establishing a bond issuance program with a total nominal value of up to PLN 3 billion, and on the issuance of PLN 700 million green bonds under the program.

    P4 is the operator of Play network and a telecommunications provider in Poland.

    According to White & Case, the C-series bonds have a five-year maturity, are unsecured, and carry a variable interest rate of WIBOR 6M plus a margin of 1.80% per annum, targeting qualified investors in Poland. The proceeds will be allocated in line with the green financing framework compliant with the International Capital Market Association Green Bond Principles adopted by Iliad Group, the parent company of P4. The bonds have been registered in the securities depository maintained by the National Depository for Securities and will be introduced to the alternative trading system of the Warsaw Stock Exchange.

    Gessel has advised BNP Paribas Bank Polska on a co-investment, via a special purpose vehicle controlled by Custodia Capital, as part of the leveraged buyout of a majority stake in Profi.

    Profi is a Polish producer of ready-made soups and pates.

    Custodia Capital is a private equity firm supporting small and medium-sized enterprises in Central and Eastern Europe.

  • Greenberg Traurig Advises CA Immo on Sale of Bitwy Warszawskiej Office Building in Warsaw

    Greenberg Traurig has advised CA Immo on the sale of the Bitwy Warszawskiej Business Center in central Warsaw.

    Founded in 1987 and listed on the ATX of the Vienna Stock Exchange, CA Immo is an investor, manager, and developer of office properties in Germany, Austria, and Central Europe, with property assets valued at approximately EUR 5 billion.

    According to Greenberg Traurig, the property comprises three office complexes over seven floors, offering approximately 20,000 square meters of office space. 

    The Greenberg Traurig team included Deputy Managing Partner Radomil Charzynski, Senior Associate Filip Widuch, and Associate Bruno Jasic.

  • Wardynski & Partners Advises Sonic Healthcare on Acquisition of LADR Laboratory Group

    Wardynski & Partners, working with Hengeler Mueller, has advised Sonic Healthcare Group on its acquisition of shares in LADR Laboratory Group for approximately EUR 423 million from ISG Intermed Holding. EY Law reportedly advised the sellers.

    Sonic Healthcare Group is a healthcare provider specializing in laboratory medicine, pathology, radiology, and general practice.

    LADR Laboratory Group is a Germany-based medical laboratory groups.
