  • BSJP BNT Advises Eurowag Group on Liquid Fuel Trading License for Okmiany Gas Station

    BSJP BNT has advised the Eurowag Group on extending its liquid fuel trading license to cover a new gas station it was aiming to inaugurate in Lower Silesia, as well as on the related lease agreement.

    Located in Okmiany, along National Road 94 and next to the A4 motorway, the newly constructed station is the sixth Eurowag establishment in Poland, and the second in the region. According to the firm, the mandate involved expanding the existing concession to establish this new outlet.

    Listed on the London Stock Exchange, Eurowag is an integrated payment and mobility platform focused on the commercial road transport industry.

  • CK Legal Advises Ryvu Therapeutics on Venture Debt Financing from European Investment Bank

    CK Legal Chabasiewicz Kowalska has advised Ryvu Therapeutics on an EUR 8 million venture debt financing from the European Investment Bank. Allen & Overy reportedly advised the EIB.

    Ryvu Therapeutics is a Polish clinical-stage biopharmaceutical company developing novel small-molecule therapies that address emerging targets in oncology. The company is listed on the Warsaw Stock Exchange.

    According to CK Legal, “this is the first tranche of financing, which will help Ryvu finance its development pipeline of new cancer treatments, from discovery to clinical trials.”

    Back in 2020, CK Legal advised Ryvu Therapeutics on a share offering (as reported by CEE Legal Matters on July 27, 2020).

  • BSJP BNT Advises Saab on PLN 230 Million Contract To Supply Early Warning Aircraft to Poland

    BSJP BNT has advised Saab on finalizing a PLN 230 million contract for the supply of two Saab 340 airborne early warning and control aircraft and related ground equipment, logistical, and training support to the Polish Armed Forces.

    According to the firm, “the contract includes the delivery of complete solutions to integrate the aircraft into Poland’s air defense system as well as in-country logistics and support services. The duration of the contract spans from 2023 to 2025, with an additional two-year support period.” The first of the two aircraft arrived in Poland in early March 2024.

    “The Saab 340 AEW order enhances the Polish Armed Forces with innovative solutions and vital training capabilities, reinforcing territorial integrity and national security. With advanced situational awareness, including aerial surveillance and rescue operations, the aircraft and associated ground equipment can detect low-flying or fast-moving objects from vast distances, significantly enhancing Poland’s airspace security,” BSJP BNT reported.

  • MFW Fialek Advises Develia on Joint Venture with Rockbridge-Managed Investment Funds

    MFW Fialek has advised Develia on a joint venture with investment funds managed by Rockbridge, Derby Investments, and a group of individual investors. Solo practitioner Katarzyna Szwarc reportedly advised the investment funds.

    Develia is a real estate development group in Poland, listed on the Warsaw Stock Exchange.

    According to MFW Fialek, the goal of the cooperation is the “implementation of a multi-stage residential and service investment in Gdynia Leszczynki, with a maximum usable area of 90,000 square meters.”

    MFW Fialek previously advised Develia on several joint-venture transactions: with Hillwood Polska (as reported by CEE Legal Matters on November 7, 2022);  with the Heart (as reported by CEE Legal Matters on August 1, 2022); and with Grupo Lar’s Polish subsidiaries (as reported by CEE Legal Matters on October 28, 2021).

  • JDP Advises Nutricia on PLN 230 Million Production Plant Expansion

    JDP has advised Danone Group’s Nutricia on the expansion of the Nutricia production plants in Opole, valued at PLN 230 million.

    Nutricia is a Danone brand that specializes in therapeutic food and infant formula, including medical nutrition for babies with specific needs.

    According to JDP, “as a result of this project, Nutricia will become the only company in the enteral nutrition sector to manufacture its products locally in Poland.”

    CK Legal Chabasiewicz Kowalska has advised JR Holding ASI on its debut on the main floor of the Warsaw Stock Exchange.

    JR Holding ASI focuses on investment activities and engagement in businesses within sectors such as digital business, renewable energy sources, computer games, medical and biotechnological industries, deep tech, space industry, and modern media.

    CK Legal helped JR Holding ASI before the “Polish Financial Supervision Authority regarding the approval of the prospectus prepared for the introduction of JR Holding shares to trading on the regulated market of the Warsaw Stock Exchange, as well as before the WSE and KDPW (National Depository for Securities) in connection with the transfer of share listings from New Connect to the main market.”

  • Gessel Advises Gaz-System on Acquisition of Storage Poland from Orlen

    Gessel has advised Gaz-System on its acquisition of Storage Poland from Orlen. Wierzbowski & Partners reportedly advised Orlen.

    The transaction remains contingent on regulatory approval.

    Gaz-System, wholly owned by the Polish State Treasury, manages the major gas pipelines running through the country as well as the under-sea Baltic Pipeline, and it owns the LNG terminal in Swinoujscie.

    Gas Storage Poland is licensed by the Polish Energy Regulatory Office to store gaseous fuels and is an operator of the gas fuels storage system in Poland.

  • JDP Advises Axon Lab on Acquisition of Color Trading

    JDP has advised Axon Lab on its acquisition of Color Trading.

    Axon Lab is a Swiss-based medical supplier active in the fields of IVD, medical IT, and applied science. Color Trading is a Warsaw-based medical products distributor.

    According to the firm, “as a result of the transaction, Axon Lab expanded its business activity to Poland and is now active in 11 European countries.”

  • BCGL Advises on PLN 360 Million and EUR 36 Million Financing for Cognor

    Balicki Czekanski Gryglewski Lewczuk has advised Polish steel producer Cognor on a PLN 360 million and EUR 36 million financing arranged by Santander Bank Polska and Santander and guaranteed by Polish export credit agency KUKE. Deloitte Legal reportedly advised the banks.

    The proceeds will be used to expand and modernize the company’s production facilities, which will help to broaden the scope of its activity further and increase its export capacity.

  • Tomczykowski Tomczykowska Advises on Occubee Spin-off from 3Soft

    Tomczykowski Tomczykowska has advised 3Soft on the process of separating the Occubee business from the main company.

    3Soft is a technology company specializing in solutions in the field of data management, process automation, and AI. For the past five years, it has been developing a SaaS product dedicated to the retail industry: the Occubee platform.

    Occubee operates as a separate company. The division is intended to enable the group to further develop both businesses, streamlining internal and external processes.
