  • WKB and Dentons Advise on Financing for Afcon and EuroEnergy Boguszyn 20-Megawatt PV Park

    WKB Lawyers has advised Afcon Renewable Energy and EuroEnergy on the financing for the development of a 20-megawatt solar photovoltaic park located in the Boguszyn precinct in southwest Poland. Dentons advised mBank on the PLN 65.7 million credit facilities.

    Afcon Renewable Energy is an Israeli independent power producer.

    EuroEnergy is Libra Group’s renewable energy subsidiary with assets and operations in the European Union.

    According to WKB, “featuring over 36,000 modules, 70 inverters, and four transformer stations, this state-of-the-art facility is projected to generate approximately 22 gigawatt-hours of clean energy. That’s enough to power around 11,300 households.”

    WKB also advised Afcon Renewable Energy and EuroEnergy on the EPC contract for the Boguszyn I and Boguszyn II solar farms in 2023 (as reported by CEE Legal Matters on July 21, 2023).

  • Michal Kalicki Joins Clyde & Co as Counsel and Head of Banking and Finance in Warsaw

    Clyde & Co has recently announced that Michal Kalicki, formerly of WKB Lawyers, joined its Warsaw office as a Counsel and the Head of the Banking and Finance team.

    Kalicki “brings 20 years’ experience in advising both lenders and sponsors on a wide range of financing requirements,” the firm reported. Before joining his new team, he spent four and a half years with WKB Lawyers as a Counsel, another six and a half with Wardynski & Partners as a Senior Associate, and a year and a half with Eversheds Sutherland Poland, between 2011 and 2012. He started out as an Associate with White & Case, where he spent six and a half years between 2004 and 2011.

    Clyde & Co opened its Warsaw office in early 2024, with Partners Arkadiusz Krasnodebski, Agnieszka Kulinska, and Radoslaw Goral at the helm (as reported by CEE Legal Matters on January 9, 2024).

    “Michal and his team are a very welcome addition to Clyde & Co’s Warsaw office,” Kulinska commented. “They bring a wealth of experience to our banking and finance offering and will support the firm in delivering even more for our clients both in Poland and beyond as we continue to grow.”

  • Gessel Advises ACP Credit on PLN 50 Million Financing for iTaxi

    Gessel has advised ACP Credit on an up to PLN 50 million financing package for Poland’s iTaxi.

    ACP Credit provides the senior strategy of the ACP Group, formerly known as Mezzanine Management. It provides growth capital to mid-market businesses.

    iTaxi is a taxi solution provider based in Poland, with nine years on the market. iTaxi offers applications for private cab rides, boasting “a variety of features making taking a cab easy and safe.”

    According to Gessel, “iTaxi aims to apply the funds towards continued growth through acquisitions and investments in environmentally friendly solutions.”

    Back in 2023, Gessel advised ACP Credit on a financing for Punkta (as reported by CEE Legal Matters on October 5, 2023).

  • Michal Synowiec Makes Partner at DLA Piper

    Former Counsel Michal Synowiec has been promoted to a Partner position in DLA Piper’s Warsaw-based Employment Law team.

    According to DLA Piper, Synowiec “has extensive experience advising international corporations, state-owned companies, and smaller enterprises, which makes him a valued expert in this field.” Synowiec has been with DLA Piper since 2010, when he joined as a Senior Associate. Earlier, he spent two and a half years with Hogan Lovells, between 2007 and 2009.

    “Advice in the field of labor law is extremely demanding due to frequent changes in regulations, the variety of problems, and the significant role of emotional and financial factors related to employee matters,” Partner and Head of the Employment Agnieszka Lechman-Filipiak commented. “Lawyers specializing in this field must demonstrate unique interpersonal skills to effectively manage complex labor relationships and adapt the law to the global work environment and new technologies. We are glad that Michal is part of our team and that he will now join the group of partners of the DLA Piper law firm.”

  • Rymarz Zdort Maruta Advises Huuuge on Investments in Israeli Mobile Game Company

    Rymarz Zdort Maruta, working with Bryan Cave Leighton Paisner and Barnea Jaffa Lande, has advised Huuuge on the execution of a simple agreement for future equity and a call option deed agreement with an undisclosed Israeli mobile game company and its existing investors.

    Huuuge is a developer and publisher of free-to-play games for mobile devices and online platforms.

    According to Rymarz Zdort Maruta , “Huuuge undertook to invest up to USD 6 million in the company in exchange for the future right to receive newly issued shares assuming a pre-money valuation of USD 16.5 million. The company will use the proceeds primarily to develop its team and projects, as well as to invest in user acquisition.”

    The Rymarz Zdort Maruta team included Partners Filip Lesniak and Michal Pekala and Associate Szymon Rutecki.

    Rymarz Zdort Maruta was unable to disclose further information on the matter.

  • Dentons and Gessel Advise on Sale of 65% Stake in Profitroom to MCI Capital Fund

    Dentons and Gessel have advised the founders of Profitroom and the Cyber_Folks company respectively on the agreement to sell a 65% stake in Profitroom to the MCI Capital ASI SA fund. Dubinski Jelenski Masiarz reportedly advised the buyer.

    The transaction values Profitroom at PLN 290 million and remains contingent on regulatory approval.

    Profitroom offers SaaS solutions and marketing services for the hotel industry, helping optimize direct reservations and streamline the management of hotel assets. It employs 250 staff and provides its products to more than 3,000 hotels across 50 countries.

    Cyber_Folks specializes in complex hosting services and online support for businesses and individual users. It also helps its customers with domain registration, e-marketing, and SSL certificates.

    MCI Capital is a regional private equity fund focused on technology investments. It currently has nearly EUR 700 million of capital under management.

    According to Dentons, the new investor is expected to boost Profitroom’s overseas expansion and “contribute to its plans to become a global leader in its area of business. Profitroom’s founders will remain in their roles and will be actively involved in its operations.”

  • WKB and DZP Advise on Dino Polska’s Acquisition of eZebra

    WKB Lawyers has advised Dino Polska on its USD 15.5 million acquisition of eZebra and its affiliates providing warehousing, storage, and shipping services for the company. Domanski Zakrzewski Palinka advised the founders of eZebra.

    Dino Polska is a Polish chain of medium-sized food supermarkets.

    eZebra runs an online perfume and beauty supply store that offers a range of perfumes and cosmetics, as well as accessories in the beauty, health, personal care, and household categories.

  • MFW Fialek Advises Play Group on Acquisition of Miconet

    MFW Fialek has advised the Play Group on its acquisition of Polish telecommunications company Miconet. MJH Moskwa Jarmul Haladyj reportedly advised Miconet.

    The Play Group, part of the French Iliad Group, is a European telecommunications group and a provider of mobile services, fixed internet, and digital TV in Poland.

    Mikolow-based Miconet operates as a provider or intermediator of telecommunications services for entrepreneurs and consumers, as well as in the construction, expansion, and maintenance of telecommunications networks.

  • SSW and Norton Rose Advise on Grupa Energa Acquisition of PV Portfolio from Lightsource BP

    SSW Pragmatic Solutions has advised Grupa Energa on its acquisition of a photovoltaic portfolio from Lightsource BP. Norton Rose Fulbright advised Lightsource BP.

    Grupa Energa is a Polish corporate group that operates in electricity generation, distribution, and supply for approximately 2.7 million people in Northern Poland.

    Lightsource BP is a solar developer in Europe. It has headquarters in London and is a subsidiary of BP.

  • Szymon Czerwinski Joins Schoenherr as Tax Partner in Warsaw

    Former Soltysinski Kawecki & Szlezak Senior Counsel Szymon Czerwinski has joined Schoenherr in Poland as a Partner to lead the firm’s Tax team.

    A tax specialist, Czerwinski spent almost ten years with SK&S, having started in 2014. Before that, he spent two years with the Polish Tax Institute, between 2012 and 2014, and a year and a half with Rubicon Partners, in 2011 and 2012.
