    Wolf Theiss, working with Kirkland & Ellis, has advised Thoma Bravo on its acquisition of PCMI. Goodwin Procter reportedly advised PCMI.

    Thoma Bravo is a software investment firm managing over USD 179 billion in assets.

    PCMI is a provider of administration software for finance & insurance products in the automotive and consumer end markets. According to Wolf Theiss, this transaction marks a significant milestone for PCMI, with existing shareholders – including PCMI management, its employees, and Equality Asset Management – retaining minority stakes.

  • Schoenherr and DWF Advise on Dealavo’s Sale to JTL-Software

    Schoenherr has advised Dealavo on its sale to JTL-Software. DWF advised JTL-Software.

    JTL-Software is a provider of e-commerce software solutions and a portfolio company of Hg, a London-based private equity firm targeting technology buyouts primarily in Europe and the US.

    Headquartered in Poland, Dealavo specializes in price and product monitoring solutions. According to Schoenherr, the transaction, the value of which remains confidential, provides new growth opportunities for Dealavo and reinforces its position in the global e-commerce technology sector.

    Rymarz Zdort Maruta has advised Innova Capital on the acquisition of a majority stake in ProService Finteco and a 50% stake in Investment Funds Depositary Services. Linklaters ProService Finteco.

    Innova Capital is an independent private equity advisor operating in Poland and Central and Eastern Europe.

    ProService Finteco is a provider of technology-driven fund management solutions. The previous owners of ProService Finteco were funds managed by Oaktree Capital Management, L.P. and Cornerstone Investment Management.

    Investment Funds Depositary Services specializes in depositary and brokerage services for closed investment funds in Poland. 

    In 2021, Rymarz Zdort advised on the financing for ProService Finteco’s takeover of Moventum (as reported by CEE Legal Matters on June 17, 2021).

  • Gide Advises BNP Paribas Bank Polska on Financing Three Retail Projects

    Gide has advised BNP Paribas Bank Polska on granting a new facility to finance three retail projects from the portfolios of Newgate Investment and Torwell Investment including Galeria Sieradzka, Wysockiego Retail Park in Bialystok, and Certe Convenience Shopping Center in Gdansk-Suchanino.

  • Rymarz Zdort Maruta and Clifford Chance Advise on Innova Capital’s Acquisition of Punkta Group

    Rymarz Zdort Maruta has advised Innova Capital on the acquisition of Punkta Group from Pollen Street Capital. Clifford Chance advised Punkta on the deal.

    Innova Capital is a growth equity fund investment manager.

    Punkta Group is a corporate insurance distribution and services company. 

    According to Rymarz Zdort Maruta, upon completion, Punkta Group will be rebranded as ISON Group. The acquisition, which was supported by the European Bank for Reconstruction and Development, will position ISON Group as a leading independent insurance brokerage in Poland, with an aggregate Gross Written Premium exceeding PLN 500 million for corporate clients.

    According to Clifford Chance, the transaction specifically covered the “disposal of Poland-based Punkta Brokers, ISON Care, Punkta Pro, Inotis Centrum Likwidacji, as well as Slovenia-based Assistance Coris and Orcis and their subsidiaries.”

    The parties have not disclosed any financial details.

    Nortec Pharma, headquartered in Poland, specializes in pharmaceutical processing solutions.

    Frewitt is a Swiss-based company operating in milling and processing technologies for the pharmaceutical industry. According to Schoenherr, this transaction expands Frewitt’s product range and service offering, reinforcing its market position, while marking a strategic move for both companies to enhance their innovative capabilities and market reach.

  • Cezary Cienkowski Becomes General Counsel at Burgundy Capital Management

    Burgundy Capital Management has appointed Cezary Cienkowski as its new General Counsel.

    Burgundy Asset Management provides investment management services.

    Before moving to Burgundy Asset Management in 2025, Cienkowski spent almost 12 years in private practice. Earlier, he was an In-House Counsel with CTL Logistics Group between 2012 and 2014. Earlier still, he was an Associate with Salans between 2010 and 2012 and a Lawyer with Pietrzak Sidor & Wspolnicy between 2007 and 2010.

    “Over the years, I’ve worked with [Burgundy Asset Management Chief Investment Officer] Gabriel Olearnik on a number of deals and disputes, and together we’ve looked at over 430 disputes internationally, with an aggregate value of USD 110 billion,” explained Cienkowski. “We saw there was a gap in the market for the next generation of strategic advice for claimant parties: we work with law firms to bring together legal, litigation finance, and investigations resources. We are not replacing the legal advice but hopefully acting as a force multiplier.”
