  • Dentons Advises PBB and Helaba on EUR 155 Million Refinancing of ELI’s Warehouse Portfolio

    Dentons has advised PBB Deutsche Pfandbriefbank and Helaba Landesbank Hessen-Thueringen on a EUR 155 million refinancing of European Logistics Investment’s portfolio of 11 logistics parks in nine locations across Poland, with a total gross leasable area of over 335,000 square meters. Linklaters reportedly advised ELI.

    According to Dentons, “PBB and Helaba acted as joint lead arrangers providing equal portions of the funding. PBB also acted as facility and security agent of the transaction.”

    ELI is a logistics platform focused on the Polish market and owned by Redefine Properties, Madison International Realty, and Griffin Capital Partners. Its current assets include 30 logistics projects within 10 logistics hubs throughout Poland.

  • Wardynski & Partners and Rymarz Zdort Maruta Advise on Piletilevi’s Ticketing Market Consolidation in Poland

    Wardynski & Partners has advised the Piletilevi Group on a two-action transaction in consolidating ticketing market companies eWejsciowki and BPM Media along with its subsidiaries. Rymarz Zdort Maruta advised eWejsciowki.

    The Piletilevi Group is owned by entrepreneur Sven Nuutmann’s EastCom Capital investment company and private equity investment firm BaltCap. It is an international ticket sales company that operates in Estonia, Latvia, Lithuania, Romania, the Czech Republic, Slovakia, and Poland.

    According to Wardynski & Partners, “the transaction involved the acquisition by the Piletilevi Group of a majority stake in eWejsciowki.pl and, simultaneously, the acquisition by that company of 100% of shares in BPM Media.”

  • Maciej Skoczynski and Marek Neumann Join Dentons in Poland

    Former Allen & Overy lawyers Maciej Skoczynski and Marek Neumann have joined the Warsaw office of Dentons as Partner and Managing Counsel, respectively.

    Skoczynski joined the firm’s Corporate and M&A practice. Before joining Dentons, he spent almost 15 years with Allen & Overy, the last two of which as a Counsel. According to Dentons, he has “15 years of transactional experience, with a particular focus on the infrastructure sector, including roads, telecommunications, oil and gas, and renewable energy.”

    Before joining Dentons, Neumann, who specializes in dispute resolution and advisory for financial institutions, spent 13 years with Allen & Overy. According to Dentons, “for more than 10 years he has represented clients in litigation and arbitration proceedings in commercial law, international investment law, banking, insurance, and insolvency law.”

  • White & Case Advises Bank Polska Kasa Opieki on PLN 500 Million Bond Issuance

    White & Case has advised issuer Bank Polska Kasa Opieki on a PLN 500 million local market issuance of MREL senior non-preferred notes due in 2029.

    Established in 1929, Bank Polska Kasa Opieki is a Polish financial institution.

    According to White & Case, “the bonds were offered to qualified investors through a non-prospectus public offering and introduced to trading in the Warsaw Stock Exchange’s alternative trading system. The bonds are registered with the National Depository for Securities.”

    In late 2023, White & Case also advised on Bank Pekao’s EUR 500 million issuance of green bonds and EMTN program (as reported by CEE Legal Matters on December 6, 2023).

    The White & Case team included Partner Grzegorz Abram, Local Partner Pawel Zagorski, and Associates Roksana Kaluzna-Balazy and Maciej Kujawa.

  • SKJB Advises Panattoni on Sale of Panattoni Park Poznan XI

    SKJB Szybkowski Kuzma Jelen Brzoza-Ostrowska has advised industrial and logistics real estate developer Panattoni on its sale of the Panattoni Park Poznan XI complex located in Zerniki. Greenberg Traurig reportedly advised the purchaser.

    According to the firm, the asset is a fully commercialized complex just outside Poznan and includes two buildings, with tenants DHL Supply Chain and Arvato, two international supply chain management companies.

    The SKJB team was led by Partner Anna Brzoza-Ostrowska and included Counsel Izabela Kultys and Associate Natalia Stys.

  • Greenberg Traurig and Rymarz Zdort Maruta Advise on Scanmed Group Sale to American Heart of Poland

    Greenberg Traurig has advised Abris Capital Partners on the sale of Scanmed Group to the American Heart of Poland Group. Rymarz Zdort Maruta advised the American Heart of Poland.

    The transaction remains contingent on regulatory approval.

    Abris Capital Partners is a private equity investor focused on Central Europe. Scanmed Group is a medical operator.

    According to Greenberg Traurig, “the finalization of the transaction will enable the American Heart of Poland Group, which specializes in the coordinated diagnosis, treatment and rehabilitation of lifestyle diseases, to double the size of its public healthcare sector and expand its territorial reach, offering post-merger medical care to 500,000 patients annually.”

  • Rymarz Zdort Maruta Advises Huuuge on USD 70 Million Share Buyback

    Rymarz Zdort Maruta, working with Freshfields Bruckhaus Deringer, has advised Huuuge on a USD 70 million share buyback.

    Huuuge is a developer and publisher of free-to-play games for mobile devices and online platforms.

    According to Rymarz Zdort Maruta, Huuuge “acquired the shares under a share buyback program with the intention of retiring the shares, other than those shares necessary, in the company’s view, to satisfy its ongoing needs under the company’s employee stock option plans.”

    Earlier this year, Rymarz Zdort Maruta advised Huuuge on investments in an unidentified Israeli mobile game company (as reported by CEE Legal Matters on April 29, 2024).

    The Rymarz Zdort Maruta team included Partner Filip Lesniak, Counsel Piotr Zawacki, and Associate Patrycja Gliwka.

  • CMS Advises GAZ-System on Supplier Selection and FSRU Agreement with White Eagle Energy

    CMS has advised gas transmission system operator GAZ-System in the process of selecting a supplier and executing a floating regasification unit chartering agreement with White Eagle Energy. Reportedly, Mayer Brown advised Mitsui.

    White Eagle Energy is a part of the Mitsui O.S.K. Lines group.

    According to CMS, “the project involves the construction of a floating terminal in the Gulf of Gdansk that will allow the unloading, in-process storage, and regasification of LNG. This will create a second LNG terminal in Poland, which is another important step towards the diversification of energy sources and the energy transformation of the Polish economy. The contract was executed for 15 years with the possibility of further extension and a guarantee of the right for GAZ-System to buy the FSRU.”

  • Edyta Defanska-Czujko Joins Deloitte Legal in Poland

    Edyta Defanska-Czujko has joined Deloitte Legal as Partner and leader of the People Law/Employment Law & Benefits practice in Poland.

    Defanska-Czujko joins together with Senior Associates Agnieszka Anusewicz and Karolina Kalinowska and will be followed, a month later, by the addition of Senior Managing Associate Sabina Carbol-Majnusz.

    Prior to her move, Defanska-Czujko spent over five years with Crido, first joining the firm as a Counsel in 2019 and becoming Partner in 2022 (reported by CEE Legal Matters on January 14, 2022). Before that, she worked for Czublun Trebicki Law Office between 2013 and 2019, first as an Advocate and Coordinator of the Labor Law Practice and as a Partner from 2018 onward. Earlier still, she was a Lawyer with Domanski Zakrzewski Palinka between 2007 and 2013 and with Maciej Panfil and Partners between 2006 and 2007.

  • Schoenherr Advises on PLN 300 Million Financing for Eneris Group

    Schoenherr has advised Bank Pekao and Santander Bank Polska on PLN 300 million financing to Eneris Group.

    The financing is meant to support the acquisition, expansion, and modernization of various processing facilities of the Eneris Group.

    Eneris is a Polish company working for sustainable development. According to Schoenherr, “it shapes the circular economy and promotes the energy transition. It invests in the development of infrastructure and environmental services in industries related to raw material recovery and zero-emission technologies.”
