  • Wolf Theiss Advises Deutsche Hypo – NORD/LB Real Estate Finance on Financing Greenstone’s Acquisition of Format Office Building

    Wolf Theiss has advised the German bank NORD/LB on financing the purchase of the Format office building in Gdansk by Greenstone Format.

    According to Wolf Theiss, “Format is a modern office and service building situated in Gdansk-Oliwa, the heart of the Tri-City business district.” Earlier this year, Gdansk-based company Torus sold the Format office building to a Singaporean fund represented by Greenstone (as reported by CEE Legal Matters on June 7, 2024).

    In 2023, Wolf Theiss advised Deutsche Hypo-NORD/LB on the EUR 46 million financing for the acquisition of Mokotow Nova (as reported by CEE Legal Matters on November 27, 2023).

  • CK Legal Advises PCC Exol on Issuance of PLN 20 Million Series D1 Bonds

    CK Legal Chabasiewicz Kowalska has advised PCC Exol on the issuance of series D1 bonds with a total nominal value of PLN 20 million.

    PCC Exol is a producer of surfactants and specialized chemical formulations in Central and Eastern Europe.

    According to CK Legal, “the chemical company PCC Exol has successfully allotted 200,000 series D1 bonds with a 45,1% subscription reduction, for the first time under the VI Bond Issuance Program. The bonds will be listed on the regulated Catalyst market operated by the Warsaw Stock Exchange.”

  • Dentons Advises Patrizia on Sale of R34 Office Building in Warsaw

    Dentons has advised Patrizia on the sale of the R34 office building in Warsaw to A&A Majsterek Holding.

    Patrizia is a real assets investment manager. A&A Majsterek Holding is a commercial property investor and manager in central Poland.

    According to Dentons, “R34 (also known as BTA Office Center) is a five-story complex offering tenants more than 6,000 square meters of office space.”

    The Dentons team included Poland Co-Managing Partner Bartlomiej Kordeczka, Counsel Arkadiusz Debski, and Associate Alicja Grabowska.

  • Linklaters Advises Nrep on Acquisition of Lett Markowska Estate in Warsaw

    Linklaters has advised Nrep on the acquisition of the Lett Markowska residential estate located on Markowska Street in Warsaw. Kaplanowski Krstulovic reportedly advised Markowska Holding Wawel Development on the sell side.

    Markowska Holding Wawel Development is a development company.

    According to Linklaters, “Lett Markowska offers 116 studios and two-bedroom apartments. Soon, an additional 63 units will be available, ultimately providing tenants with 179 apartments, including 83 two-bedroom and 96 studios, located in three buildings. All units are fully furnished and equipped. Additionally, residents have access to an underground garage, storage units, a playground, and a coworking space.”

    In 2023, Linklaters advised NREP on the acquisition of a majority stake in 7R (as reported by CEE Legal Matters on August 16, 2023) as well as on a PLN 229 million loan from the EBRD to finance two residential rental projects in Warsaw (as reported by CEE Legal Matters on May 31, 2023). Earlier still, in 2021, Linklaters advised NREP on its acquisition of more than 1,000 housing units in Warsaw from YIT (as reported by CEE Legal Matters on July 12, 2021).

    Michal Bernat and Stanislaw Soltysik have been promoted to Partner at Dentons’ Warsaw office as part of the firm’s latest promotions round for Europe and Central Asia.

    Former Managing Counsel Michal Bernat, who specializes in tax, has been with Dentons since 2012 when he joined as a Senior Associate. Earlier, he spent ten and a half years with Wardynski & Partners.

    Specializing in restructuring, Stanislaw Soltysik, a former Managing Counsel as well, has been with the firm since 2009 when he joined legacy firm Salans as an Associate.

  • CK Legal Advises Znajdz Gabinet Founders on Sale to Booksy International

    CK Legal Chabasiewicz Kowalska has advised the founders of Znajdz Gabinet on the sale of the company to Booksy International. DLA Piper reportedly advised Booksy International.

    Znajdz Gabinet is a service created by doctors, physiotherapists, and lawyers, offering patients access to medical services.

    Booksy is a Polish startup based in San Francisco, offering an online appointment booking platform for users and business development software for service providers.

  • Employment Brief: The implementation of the EU Whistleblowing Directive in Poland is Imminent

    The bill on the protection of whistleblowers in Poland is at the final stage of the legislative process and the core provisions have been set.

    Key provisions of the bil

    Under the new law, reporting irregularities will be permitted via different reporting channels:

    • internal channels: entities (both private companies and public bodies) that employ at least 50 individuals will be required to establish an internal channel for reporting any and all violations of the law;
    • external channels (e.g. Ombudsman and public authorities);
    • public disclosure (e.g. reporting in the media).

    Anonymous reporting is permitted through internal and external channels. However, entities that receive reports will independently decide whether or not to consider reports submitted anonymously.

    The subject of a whistleblower notification can include violations of law or unlawful activities concerning services, products, financial markets, corruption, public procurement, anti-money laundering, product safety and compliance, consumer protection, privacy and personal data protection, the internal market of the European Union, along with constitutional freedoms and human and citizen rights.

    The only outstanding question is whether a violation of the labour law can be the subject of a whistleblowing report. Currently, the Parliament is considering whether or not to accept the Senate’s amendment to remove labour law violations from the list of whistleblower notifications. 

    The bill provides for penalties. Failure to establish internal reporting procedures or significant violations in implementing such procedures constitutes an offense punishable by a fine. The maximum amount of the fine is PLN 1,080,000 (approx. EUR 249,000).

    Timeline

    The new law will enter into force three months from the date of promulgation, except for provisions on external reporting, which will have a further three months for implementation.

    Recommendation to employers

    As the entry into force of the bill is imminent, employers are already able to begin preparing for the implementation of the new law, said preparation includes:

    • Setting up internal reporting channels;
    • Developing or reviewing internal policies regarding reporting irregularities;
    • Establishing internal reporting procedures, which must comply with GDPR;
    • Designating individuals responsible for managing reports and providing them with appropriate training.

  • CMS Advises GoldenPeaks Capital Group on Acquisition of Photovoltaic Portfolio from Columbus Energy Group

    CMS has advised GoldenPeaks Capital Group on the acquisition of a portfolio of 30 photovoltaic farm projects from Columbus Energy Group.

    GoldenPeaks Capital is an independent energy producer and distributor in Poland and Hungary specializing in the construction and operation of photovoltaic and wind systems.

    Columbus Energy Group is a supplier of services in the energy market.

    According to CMS, “the farms acquired by GoldenPeaks are ready-to-build projects with connection conditions issued and a total capacity of 28.07 megawatts.”

  • DWF Advises Ayesa Polska on International Chopin Music Center Tender

    DWF has advised Ayesa Polska on the winning tender regarding the International Chopin Music Centre in Zelazowa Wola.

    According to DWF, “on May 22, 2024, an agreement was reached for the provision of contract engineer services for the project titled ‘International Chopin Music Centre in Zelazowa Wola,’ with a construction budget exceeding PLN 400 million. The center will facilitate the expansion and enhancement of artistic, educational, conference, and training activities of the National Fryderyk Chopin Institute, including the organization of selected concerts from the Chopin and His Europe festival, the staging of the International Fryderyk Chopin Competition, concerts accompanying museum tours, masterclasses, and academic conferences.”

  • Greenberg Traurig and LegalKraft Advise on Torus’ Sale of Format Office Building

    Greenberg Traurig has advised Gdansk-based Torus on the sale of the Format office building to a Singaporean fund represented by Greenstone. LegalKraft advised Greenstone.

    Torus is a Polish office developer with a portfolio encompassing hotel, warehouse, and residential investments.

    According to Greenberg Traurig, “situated in Gdansk, the Format office building is one of the latest A-class facilities built by Torus. The building offers a leasable area of 16,000 square meters of gross leasable area.”

    Earlier, in 2021, Greenberg Traurig advised Torus on its sale of the Neon office building, also based in Gdansk (as reported by CEE Legal Matters on February 23, 2021).
