  • SRC Advises Golden Star Estate on Multiple Leases

    SRC has advised Golden Star Estate, as the landlord, on several leases, covering over 1,600 square meters in the DOT Park complex in Krakow and almost 1,100 square meters in the Oxygen Park complex in Warsaw, to entities including Webcon, Toshiba, and LSI Software.

    The Golden Star Group is an investment group specializing in real estate investments, including commercial real estate properties, real estate development, and the hospitality sector.

    In 2023, SRC advised Golden Star Estate on a Konstruktorska business center lease agreement (as reported by CEE Legal Matters on February 22, 2023).

  • Rymarz Zdort Maruta Advises Arabelle Solutions on Acquisition of Power Solutions Poland

    Rymarz Zdort Maruta, working with Freshfields Bruckhaus Deringer, has advised Arabelle Solutions on its acquisition of Power Solutions Poland from GE Power.

    Arabelle Solutions focuses on technologies and services related to turbine islands of nuclear power plants. It is a subsidiary of the Electricite de France Group, an integrated energy company that is active in energy generation, transmission, distribution, supply and trading, as well as energy-related services.

    GE Power, which is a part of GE Vernova, is a provider of technologies, solutions, and services for the entire energy value chain, from the point of generation to consumption.

    According to Rymarz Zdort Maruta, “the transaction took place as part of the EDF Group’s acquisition of GE Vernova’s steam nuclear activities covering conventional island equipment for nuclear power plants. The deal will position the buyers as acquirers of technologies and competencies essential to the nuclear industry and to European energy security.”

    The Rymarz Zdort Maruta team included Managing Partner Pawel Rymarz, Senior Associate Malgorzata Banaszkiewicz, and Associate Szymon Rutecki.

    Rymarz Zdort Maruta could not share additional information on the matter.

  • Marcin Czarnecki Joins Worldcoin as Chief Privacy Counsel

    Former PayU Chief Privacy Office Marcin Czarnecki has joined Worldcoin as its new Chief Privacy Counsel.

    Worldcoin is an iris biometric cryptocurrency project developed by San Francisco and Berlin-based Tools for Humanity. Founded in 2019 by OpenAI chief executive Sam Altman, Max Novendstern, and Alex Blania, it is backed by VC Andreessen Horowitz.

    Earlier, Czarnecki spent two years with PayU (as reported by CEE In House Matters on August 3, 2022), three years with the Prosus Group as a Senior Privacy Counsel, as well as a year and a half with Showmax as its Senior Commercial and Privacy Counsel. He began his career in 2007 with Clifford Chance, where he spent ten years.

  • A&O Shearman and Rymarz Zdort Maruta Advise on ISP’s Acquisition of Nasza Szkola

    A&O Shearman has advised International Schools Partnership Limited on its acquisition of Nasza Szkola. Rymarz Zdort Maruta advised the sellers.

    International Schools Partnership Limited develops educational units for children aged 2-18 and operates 83 schools in 22 countries.

    Nasza Szkola is the operator of the A. Einstein Primary School in Wilanow, Warsaw. According to A&O Shearman, “founded in Warsaw in 2018, A. Einstein Primary School is one of the biggest privately held schools in Poland providing a Polish-English bilingual education to its students.”

    The A&O Shearman team included Partner Magdalena Nasilowska, Counsel Piotr Szczecinski, Senior Associates Malgorzata Jastrzebska and Marcin Ziarkowski, and Associates Jakub Zebrowski, Katarzyna Fus-Starzec, and Julia Pytko.

  • Greenberg Traurig and Dentons Advise on AT Capital’s Sale of Real Estate Property in Warsaw to Dantex and Cavatina

    Greenberg Traurig has advised AT Capital on the sale of a real estate property in Warsaw to the Dantex and Cavatina development group companies acting in a consortium. Dentons advised Cavatina. KG Legal Kieltyka Gladkwski and Gras and Partners reportedly advised Dantex.

    The AT Capital Group is a Singapore-headquartered family office specializing in actively managed businesses and passive financial investments. The company has offices in India, Singapore, Dubai, and the Netherlands.

    According to Greenberg Traurig, “the property will be developed with the Liberty Residence, designed as a high-rise project offering approximately 700 residential units.”

    In 2023, Greenberg Traurig advised AT Capital on the acquisition of the same property from Golub Gethouse (as reported by CEE Legal Matters on February 10, 2023).

  • Cytowski & Partners Advises Proofs on USD 2.6 Million Pre-seed Round

    Cytowski & Partners has advised Polish startup Proofs on its USD 2.6 million pre-seed round.

    Earlybird Venture Capital, Robin Haak, Expeditions Fund, Tomasz Karwatka, Piotr Karwatka, and several VCs and angels participated in the round.

    According to Cytowski & Partners, “Proofs is led by seasoned entrepreneurs Bartek Pucek and Zbigniew Sobiecki based in Warsaw, Poland. The company is building a go-to market for APIs which means in plain English that you can set up proof of concept for an API very quickly.”

    The Cytowski & Partners team included Partner Tytus Cytowski, Associate Kunal Kolhe, and Law Clerk Fabiana Morales Centurion.

  • A&O Shearman Advises Millennium Bank Hipoteczny on PLN 300 Million Bond Issuance

    A&O Shearman has advised Millennium Bank Hipoteczny on its inaugural issuance of three-year covered bonds with a total principal amount of PLN 300 million.

    Biuro Maklerskie Banku Millennium and Trigon Dom Maklerski worked on the issuance.

    The A&O Shearman team included Managing Partner Arkadiusz Pedzich, Counsel Lukasz Walczyna, and Associate Alicja Urbanska.

  • Greenberg Traurig and Rymarz Zdort Maruta Advise on Agora’s Acquisition of Eurozet

    Greenberg Traurig has advised Agora on purchasing the remaining shares of Eurozet from SFS Ventures. Rymarz Zdort Maruta advised the seller.

    Agora is a Polish media corporation. Eurozet is a media group based in Poland that produces and broadcasts radio programming, sells spot advertising, brokers activities for stations, and develops and manages online services. 

    According to Greenberg Traurig, “the acquired shares constitute the remaining 49% of the share capital of Eurozet and represent 49% of the total number of votes at Eurozet’s shareholders’ meeting. As a result of the share purchase agreement, and upon payment of the purchase price for the shares, Agora became the sole shareholder in Eurozet.”

    In 2021, Greenberg Traurig assisted Agora with the appeal on the decision prohibiting its takeover of Eurozet (as reported by CEE Legal Matters on February 15, 2021).

  • Schoenherr Advises Ergo and DKV on EUR 90 Million Refinancing for Vantage Group

    Schoenherr, working with Ashurst, has advised Ergo Vorsorge Lebensversicherung and DKV Deutsche Krankenversicherung on the EUR 90 million refinancing for Vantage Group’s rental housing portfolio in Poland.

    Ergo and DKV are insurance companies.

    Vantage Group is part of TAG Immobilien, a property company from Germany.

    According to Schoenherr, “the financing supports over 2,500 existing rental units and 1,200 units under construction, underlining Vantage’s high market potential.”

    Crido has advised Electra M&E Polska on the acquisition of GEO-KAT.

    Electra M&E Polska is an engineering company. GEO KAT operates in the field of low-current installations as well as in building automation, electrical installations, and maintenance and service services for buildings.
