  • Greenberg Traurig Advises PIB Group on Acquisition of Nord Group Companies

    Greenberg Traurig has advised PIB Group on the acquisition of Nord Group companies including Nord Partner, Nord Re, and Nord Serwis. Dittmajer and Partners reportedly advised the founders of the Nord Group on the sale side.

    The transaction remains contingent on regulatory approval.

    PIB Group is a specialist insurance intermediary.

    The Nord Group is an insurance broker in Poland with 25 years of market presence.

    In 2022, Greenberg Traurig advised PIB on its acquisition of a stake in Asist (as reported by CEE Legal Matters on October 21, 2022).

  • LWW, DWF, and A&O Shearman Advise on Sale of CGH Group to H.I.G. Capital

    LWW has advised CGH Group shareholders on its sale to H.I.G. Capital. DWF advised H.I.G. Capital. A&O Shearman advised minority shareholder Burgerlijke Maatschap Carpentier – Beernaert.

    The transaction remains contingent on regulatory approval.

    CGH Group is a manufacturer of tanks and is operating as part of an extended group with companies in Poland, Belgium, Denmark, and South Africa, with manufacturing facilities in Poland and South Africa.

    H.I.G. Capital is a US-based investment firm.

  • Natalia Nader Joins Just Law as Partner

    Former Everberg Law Firm TMT & Data Protection head Natalia Nader has joined Just Law as a Partner.

    According to Just Law, Nader is an expert in new technology law, IT contracts, media law, corporate matters, e-commerce regulation, and data protection.

    Prior to joining the firm, Nader headed the TMT & Data Protection department at Everberg Law Firm for almost four years. Earlier, she spent almost three years as a Senior Associate with Cybulski, Ejtminowicz, Trojanowski and Partners and, earlier still, she was an Associate with Ewa Lewszuk, in 2017. Before that, she spent over a year in-house with Agora.

  • DZP and JP Weber Advise on Axopar Group’s Investment in Markos

    DZP has advised Axopar Group on its investment in Markos. JP Weber advised Markos.

    Finland-based Axopar Group specializes in the sale of recreational motor and sailing boats.

    Markos, a Polish family-owned company, manufactures fiberglass reinforced composite products used in the heavy, energy, marine, and recreational industries.

  • Wolf Theiss Advises Schibsted Group on Separation of its Business Split

    Wolf Theiss, working with Wiersholm, has advised the Schibsted group on the separation of its business into two companies – Schibsted Media and Schibsted Marketplaces.

    The Schibsted group is a media and marketplace capital group.

    According to Wolf Theiss, following the division, “Schibsted Media, now fully owned by Tinius Trust through Blommenholm Industrier, acquired Schibsted Group’s news media operations and will continue to deliver trustworthy journalism through brands such as VG, Aftonbladet, Aftenposten, and Svenska Dagbladet.”

  • Greenberg Traurig and Dentons Advise on Ze Pak and Pak-Polska Czysta Energia’s Acquisition of Wind Power SPVs from Goalscreen Holdings Limited

    Greenberg Traurig has advised Ze Pak and Pak-Polska Czysta Energia on their joint acquisition of two SPVs developing a wind power project from Goalscreen Holdings Limited. Dentons advised the seller.

    Ze Pak is the largest private energy group in Poland.

    Pak Polska Czysta Energia is a member of the Polsat Plus Group media and telecommunications company.

    According to Greenberg Traurig, “as part of the investment, Ze Pak acquired 99% of the shares and Pak Polska Czysta Energia acquired 1%, with the conclusion of a document summarizing the rights of the future shareholders’ agreement, which provides for the possibility of increasing the participation of Pak Polska Czysta Energia in the project. The project, with a planned total connected power of approximately 500 megawatts, will be built in the Opole province. It is the largest planned onshore wind farm complex in Poland to date.”

    In 2023, Greenberg Traurig advised on a PLN 800 million financing for Polsat Plus wind farm (as reported by CEE Legal Matters on December 7, 2023) and, in 2022, it advised Polsat Group on its acquisition of Pak Polska Czysta Energia from the Neo Energy Group (as reported by CEE Legal Matters on September 19, 2022).

  • DZP Advises Rubicon Partners on USD 2.5 Million Investment in StaffHealth

    DZP, working with Orrick, has advised Rubicon Partners on its USD 2.5 million investment in StaffHealth.

    Rubicon Partners is a fund that both provides investment banking services and makes its own investments.

    StaffHealth is a US startup creating a technology platform for hiring qualified medical staff.

    According to DZP, “in addition to the financial contribution, Rubicon will support StaffHealth in the development of its technological facilities in Poland, including the building of new platform functionalities and the digitalization of processes, the transfer of business operations from the US and Asia to Poland, and the implementation of procedures related to the company’s cross-border financial management.”

  • Gessel Advises on Gaz-System’s Acquisition of Storage Poland Merger Clearance

    Gessel has advised Gaz-System on the merger clearance of its acquisition of Gas Storage Poland from Orlen.

    Wholly owned by the Polish State Treasury, Gaz-System manages the major gas pipelines running through the country, the under-sea Baltic Pipeline, and owns the LNG terminal in Swinoujscie.

    Gas Storage Poland is licensed by the Polish Energy Regulatory Office to store gaseous fuels and is an operator of the gas fuels storage system in Poland.

    Earlier this year, Gessel advised Gaz-System on the acquisition itself (as reported by CEE Legal Matters on March 21, 2024).

  • Gide and Linklaters Advise on Goldman Sachs Bank’s Financing for Intrum Loan Portfolios Acquisition

    Gide, working with Cadwalader, Wickersham & Taft, has advised Goldman Sachs Bank on financing for Cerberus Capital Management affiliates’ acquisition of over 10,000 Intrum loan portfolios with a nominal value of EUR 33 billion and a book value of EUR 1 billion across 13 European jurisdictions. Linklaters advised Cerberus Capital Management.

    Scandinavian company Intrum is Europe’s largest bad debt manager, operating in 20 markets, including Poland since 1998.

  • DZP Mints Five New Partners

    DZP has promoted Beata Cieszynska, Anna Okla-Wozniak, Jaroslaw Przybylski, Krzysztof Stecyk, and Maciej Zajda to Partner.

    Cieszynska is a part of the firm’s Infrastructure & Energy practice and specializes in infrastructure investments, contracts for their implementation, and investment disputes. She first joined the firm as an Associate in 2013, but left for a year to be an Associate with Bird & Bird between 2016 and 2017. In 2019, she became a Senior Associate before being promoted to Counsel in 2023. 

    Former Counsel Okla-Wozniak, part of the Real Estate practice at DZP, has been with the firm for over 11 years, having joined in 2013.

    Przybylski, who is a corporate and M&A specialist, has been with the firm since 2005. Joining as a Senior Associate, Przybylski was promoted to Counsel in 2023.

    Stecyk is a dispute resolution expert. He first joined DZP in 2008 as a Senior Associate.

    Zajda is part of the Capital Markets & Financial Institutions practice at DZP. He first joined in 2008 as an Associate and was promoted to Senior Associate in 2018.
