    Dentons Advises on Construction of Energy-Efficient Kindergartens in Warsaw

    A consortium including Dentons has won a public tender to provide consulting services on a PPP project regarding the construction of kindergartens in Warsaw. The project, known as “Construction of Energy Efficient Public Kindergartens in Warsaw to Replace ‘Stolbud Ciechanow’ Buildings,” was awarded on the basis of a tender organized by the Ministry of Investment and Development in Poland.

    As part of the project, several obsolete socialist-era kindergartens in Warsaw will be demolished and replaced by new buildings. According to Dentons, “the newly designed and built kindergartens will offer improved comfort and functionality, while complying with current building and environmental standards.” The estimated project value is PLN 170 million.

    The Dentons-led consortium will provide legal, economic, and financial consulting to support the Ministry in advising the City of Warsaw on the PPP project, including the selection of a private partner. The Dentons team will be led by Counsel Tomasz Korczynski.

    Former Wierzbowski Eversheds Sutherland Of Counsel Patryk Galicki has joined CDZ as a Partner to lead the firm’s Real Estate practice.

    Galicki has over 17 years of experience in real estate law and mergers and acquisitions. He specializes in real estate transactions, financing and refinancing investments, and restructuring processes. He advises international investment funds and private equity firms, and Polish and foreign investors, developers, and financial institutions.

    Prior to joining CDZ, Galicki spent five years with Bird & Bird (the last year as a Partner), then two years each at K&L Gates and Wierzbowski Eversheds Sutherland, both as Of Counsel.

    Cezary Przygodzki Becomes Co-Leader of Dentons Tax Practice in Poland

    In January 2018, Partner Cezary Przygodzki joined Partner Karina Furga-Dabrowska as co-leaders of the firm’s Tax Advisory Team in Poland.

    Przygodzki focuses on international tax planning and M&A structuring. He advises clients on tax aspects of restructuring and reorganizing their businesses, as well as foreign investors in Poland, particularly with regard to incentives offered to investors operating in special economic zones. He also assist clients in tax-related disputes, litigations, and administrative proceedings.

    Przygodzki’s clients come mainly from the energy, media, technology, and real estate sectors. Przygodzki joined Dentons (legacy Salans) in 2009, and before that he worked at Ernst & Young for almost nine years.

    Act BSWW has assisted the Immobel Group on lease agreement negotiations with retail space tenants in the CEDET project in Warsaw.

    According to Act BSWW, “CEDET is a unique restoration and extension project of the historic building at Krucza 50, the modernist pearl of the Polish post-war architecture. Combining retail functions with top-notch office areas, CEDET will be made of two parts, a meticulously restored former department store and an entirely new building at the junction of Bracka and Krucza streets.”

    The firm’s team consisted of Partner Marta Kosiedowska and Trainee Katarzyna Okonek.

    Judit Kresz, the former Head of Tax at Peterka Partners in Budapest, has joined the Tax team of CMS Budapest as a Senior Associate.

    Kresz is a registered tax advisor with 13 years of experience gained at PwC and MOL, among others. CMS describes her as “particularly experienced in cross-border matters.”

    “Advising on tax matters at an international law firm like CMS requires a specific set of skills and knowledge, that we believe Judit possesses entirely,” says Eszter Kalman, Head of Tax at CMS Budapest. “We are very happy to have her on board and look forward to getting the best of her expertise at our practice.”

    Dentons Wins Tender to Advise Polish Ministries on PPP Project in Poland

    A Dentons-led consortium won a government tender to provide assistance to Poland’s Ministry of Investment and Development and the Ministry of Sports and Tourism in selecting a private-sector partner for a PPP project to develop the common grounds adjacent to Warsaw’s National Stadium. 

    The preliminary conceptual plan for the National Stadium’s common grounds envisages a public park and promenades, a multi-function sports and entertainment arena for 20,000 viewers, and a conference center for 8000 guests, as well as a hotel and office buildings. The estimated project value exceeds PLN 1 billion.

    Tomasz Korczynski, Co-leader of Dentons PPP practice in Poland, will be at the helm of the project team.

    SSW Pragmatic Solutions Advises Inwest Group on Mezzanine Debt Financing

    SSW Pragmatic Solutions has advised the Inwest Group, a group of Polish property developer companies, on its obtaining of PLN 35 million in mezzanine debt financing in the form of bonds for an unspecified project.

    Active since 1996, Inwest Group handles the implementation of investments from the multifamily residential building construction segment.

    The SSW team consisted of Partners Sebastian Ponikowski and Maciej Duch.

    SK&S Advises Sokolow S.A. on Acquisition of Polish Meat Group

    Soltysinski Kawecki & Szlezak has advised Sokolow S.A., a company belonging to the Danish Crown A.S. group, on the acquisition of a range of companies making up the meat group Gzella.

    The transaction will be finalized once the conditions set out in the transaction documentation have been met.

    Gzella, which has been present in the market since 1985, has a production plant in Osie, Poland, equipped with specialized production management systems.

    Sokolow S.A. is a Poland company that belongs to the international Danish Crown group specializing in the production of foodstuffs and animal slaughter industry.

    The SK&S transaction team was led by Senior Partner Krzysztof Pawlisz and included Senior Associates Andrzej Motyka and Agnieszka Skowronek, Associate Jan Pierzgalski, and Junior Associate Anna Bartosiewicz. Tax issues were handled by Partner Piotr Andrzejak. The team also included Senior Associate Szymon Czerwinski. Partner Krzysztof Kanton and Senior Counsel Jaroslaw Lukawski worked on antimonopoly issues.

    Act BSWW has advised Buma Group on its lease agreement of space at the DOT Office in Krakow to Shell. Shell was assisted by the Jezolkowski law firm.

    DOT Office is located on Czerwone Maki street in Krakow. Other tenants include Motorola Solutions Systems, Ericsson, and Luxmed.

    Act BSWW Managing Partner Michal Wielhorski acted as team leader, supported by Partner Alicja Soltyszewska. 

    The Jezolkowski team consisted of Managing Partner Piotr Jezolkowski and Associate Magdalena Lelong.

    Act BSWW Advises Kulczyk Silverstein Properties on Lease Negotiations

    Act BSWW has advised Kulczyk Silverstein Properties on its lease agreement negotiations with the tenants of the Ethos office and retail building in Warsaw, which include HBO and Hogan Lovells.

    The Ethos office and retail building, in a prominent quarter of Warsaw, offers a total of 17,000 square meters of office and commercial space. Approximately 5,000 square meters is intended for stores of what Act BSWW describes as “prestigious and exclusive brands.” The complex features approximately 180 underground and surface parking spaces.

    Act BSWW’s team included Counsels Marta Kosiedowska and Magdalena Banaszczyk-Glowacka and Attorney-at-Law Izabela Zmijewska.
