    SSK&W has advised Spyrosoft BSG S.A. on its merger with Spyrosoft BSS Sp. z o.o.

    Spyrosoft BSG is a provider of specialized software for the media and entertainment industry.

    The SSK&W team included Partner Szymon Syp and Associate Natalia Grzegorzewska.

  • Schoenherr Advises eSky Group on Financing of Thomas Cook Acquisition

    Schoenherr has advised eSky Group on the financing of its acquisition of Thomas Cook from Fosun Tourism and Culture Group. Deloitte Legal reportedly advised Bank Polska Kasa Opieki and mBank. Reportedly, Dentons’ UK office advised eSky Group on the acquisition and Reed Smith advised the sellers.

    eSky Group is the operator of a travel booking platform in Central and Eastern Europe.

    Thomas Cook is an online travel agency.

    According to Schoenherr, “with this transaction, which excludes Thomas Cook’s operations in China, eSky Group strengthens its presence in the European travel market and continues its strategy of global expansion and diversification.”

  • CK Legal advises PragmaGO on PLN 30 Million Series C6 Bonds Issue

    CK Legal Chabasiewicz Kowalska has advised PragmaGO on the issue of series C6 bonds with a total nominal value of PLN 30 million with a 62,01% subscription reduction.

    PragmaGO is one of the largest non-bank financial institutions in Poland specializing in providing online financing in the form of factoring and loans in the SME segment.

    Earlier in 2024, CK Legal advised PragmaGO on its PLN 35 million series C5 bonds issue (as reported by CEE Legal Matters on August 1, 2024), on its PLN 30 million series C4 bonds issue (as reported by CEE Legal Matters on July 10, 2024), on an EUR 3.5 million bonds issuance (as reported by CEE Legal Matters on May 28, 2024), on its PLN 25 million C3 bonds issuance (reported by CEE Legal Matters on April 2, 2024), on its PLN 25 million issuance of series C2 bonds (reported by CEE Legal Matters on February 1, 2024), and on its acquisition of single invoice financing market company Monevia (reported by CEE Legal Matters on February 13, 2024).

  • Schoenherr Advises mBank on Financing for Focus Telecom Polska’s Acquisition of Systell

    Schoenherr has advised mBank on the financing of Focus Telecom Polska’s acquisition of Systell group companies. Dubinski Jelenski Masiarz and Partners and Porebski and Partners reportedly advised Focus Telecom.

    Focus Telecom Polska is part of the MCI Capital fund portfolio. It has been operating in the ICT industry since 2008 and currently employs more than 100 people. The company provides systems for managing customer communications across channels, including phone, email, chat, SMS, and social media, as well as customer service tools.

    According to Schoenherr, “this acquisition of a former competitor will strengthen Focus Telecom’s position as a leader in contact center software in Poland and significantly expand its presence as the largest provider of modern solutions in the contact-center-as-a-service model in that market.”

  • GFKK Advises ArcelorMittal Distribution Solutions Poland on Demerger

    GFKK Grzybczyk Kaminski Gawlik has advised ArcelorMittal Distribution Solutions Poland on the spin-off of an organized part of the enterprise from its structure and establishment of a new company – ArcelorMittal SSC Poland.

    ArcelorMittal Distribution Solutions Poland operates in architectural and structural metals manufacturing, ventilation, heating, air-conditioning, and commercial refrigeration equipment manufacturing.

    According to GFKK, the spin-off process aimed to separate the distribution and service business parts of the ArcelorMittal Group.

    The GFKK team included Partners Beata Kozak-Matusiak and Michal Grzybczyk and Associates Michal de Abgaro Zachariasiewicz, Maciej Giermak, and Agata Piotrowska.

  • Taylor Wessing Advises Innerio Group on Acquisition of Estra Europe

    Taylor Wessing has advised the Innerio Group on the acquisition of Estra Europe from Shanghai Aerospace Automobile Electromechanical.

    Innerio manufactures heat exchangers for air conditioning, battery, and electric motor cooling systems, as well as charge air cooling systems for hybrid vehicles.

    Estra Europe employs a total of about 1,150 people at its engineering center in Hautecharge, Luxembourg, and its manufacturing plant in Zabrze, Poland.

  • Kamila Dutkowska-Wawrzak Joins Atlas Ward as Legal Director

    Former Panattoni Legal Director Kamila Dutkowska-Wawrzak has joined Atlas Ward as Legal Director and Board Advisor.

    Atlas Ward operates in the construction industry.

    Before the move, Dutkowska-Wawrzak spent almost six years with Panattoni, the last year and a half of which as its Legal Director. Earlier, she spent four years in-house with Multi Corporation and, earlier still, almost two years as a Junior Lawyer with MarcPol.

    “I am very excited about the new organization and my new role,” commented Dutkowska-Wawrzak. “The company where I start working is a company with great potential and, above all, characterized by wise management and a vision for the future. I am hopeful that my joining Atlas Ward is a mutual benefit.”

  • Dentons Appoints Mark Segall as Co-Head of Banking and Finance in Poland

    Dentons has appointed Partner Mark Segall as the new co-head of the Banking and Finance practice in Poland. He will lead the department alongside Partner Bartosz Nojek.

    Segall joined Dentons in 2021 (as reported by CEE Legal Matters on March 4, 2021) after spending more than 10 years with CMS — three of which as its Head of Banking & Finance in CEE (as reported by CEE Legal Matters on May 3, 2017). Earlier, he spent three and a half years with UniCredt and, earlier still, three years with Ashurst and more than two years with Macfarlanes. He began his career at Redcliffes Le Brasseur in 1999, where he stayed for almost three years.

    “I am very happy to take on this new challenge and work alongside Bartosz,” said Segall. “I look forward to contributing to the continued success of the team and working closely with our clients to achieve their goals, particularly in navigating complex cross-border transactions.”

  • Gide and White & Case Advise on Qemetica’s Acquisition Financing for PPG’s Precipitated Silica Business

    Gide has advised Qemetica on obtaining financing from BNP Paribas Bank Polska for the acquisition of the precipitated silica business of PPG. White & Case advised BNP Paribas Bank Polska. Hogan Lovells reportedly advised PPG.

    Qemetica, formerly known as Ciech, is a European chemical industry company.

    PPG is an American supplier of paints, coatings, and specialty materials.

  • LWW Advises on Sale of Petrotank

    LWW, working with Dentons, has advised private individuals in the disposal of shares in Petrotank. KPMG Law Belgium and A&O Shearman reportedly advised the buyers.

    Petrotank is a Morocco-based manufacturer of underground and overhead tanks.
