  • Marek Sawicki Joins LSW as Senior Partner

    Marek Sawicki has joined LSW as Senior Partner.

    Before joining LSW, Sawicki led the private equity practice at EY Law in Poland between 2021 and 2024. Earlier, he was the Co-Head of DLA Piper’s Poland office’s corporate and M&A practice between 2019 and 2021. Earlier still, he spent nearly 13 years with CMS as a partner and almost seven years with Baker McKenzie.

    “Marek brings with him significant transactional experience and managerial skills, which will be valuable support to our team and clients,” said Managing Partner Krzysztof Laskowski. “I look forward to the opportunity to collaborate, and I am confident that his expertise will contribute to the further development of our services.” 

  • Cytowski & Partners Advises Satim on EUR 1.4 Million Financing Round

    Cytowski & Partners has advised Satim on a EUR 1.4 million financing round with Balnord VC. Kondracki Celej reportedly advised Balnord.

    Satim is a Krakow-based aerospace company that is building AI-driven SAR detection tools.

  • Jasinski Advises Oviedo Investment on Sale of Gdansk Property to ULMA Construccion

    Jasinski has advised Oviedo Investment on the sale of a commercial property located in Gdansk to ULMA Construccion Polska.

    Oviedo Investment is part of the Inopa Group which builds and provides offices to lease, warehouses, commercial spaces, and multi-functional projects.

    ULMA Construccion Polska is a manufacturer of formwork and scaffolding systems.

    The Jasinski team included Partner Mateusz Jasinski and Junior Associate Kamil Winkler.

  • Gide Advises KGHM International Copper Mines Portfolio Sale

    Gide, working with McCarthy Tetrault, has advised KGHM International on the sale of mining assets located in the Sudbury Basin in central Ontario, Canada, to the Canadian mining company Magna Mining.

    KGHM International is a Canadian subsidiary of KGHM Polska Miedz and is engaged in the extraction of copper, nickel, platinum, palladium, gold, cobalt, and molybdenum.

    Magna Mining is a Canadian exploration and mining company focusing its extraction projects on nickel, copper, and platinum group metals in the Sudbury region of Ontario, Canada.

    According to Gide, “the transaction includes the sale of the active McCreedy West mine and three other currently inactive mines: Levack, Podolsky, and Kirkwood, along with a number of exploration projects: Falconbridge Footwall, Northwest Foy, North Range, and Rand. The total value of the transaction will be around CAD 30 million.”

    Earlier in 2024, Gide advised KGHM Polska Miedz on the PLN 4 billion bond program establishment and first issuance (as reported by CEE Legal Matters on June 28, 2024) and on a loan agreement with BGK (as reported by CEE Legal Matters on March 5, 2024). In 2022, Gide advised KGHM on its sale of a stake in Sierra Gorda to South32 (as reported by CEE Legal Matters on March 8, 2022).

  • White & Case and A&O Shearman Advise on PKO Bank Polski’s EUR 750 Million Green Notes Issuance

    White & Case has advised the joint bookrunners on PKO Bank Polski’s green issuance of EUR 750 million 3.875% senior non-preferred notes due 2027. A&O Shearman advised PKO Bank Polski.

    The joint bookrunners were Banco Santander, Erste Group Bank, HSBC Continental Europe, Landesbank Baden-Wuerttemberg, and Powszechna Kasa Oszczednosci Bank Polski.

    According to White & Case, “the notes issuance was executed under PKO Bank Polski’s EUR 4 billion medium-term note program, which was updated in 2024. The notes are listed on the Luxembourg Stock Exchange and will also be listed on the Warsaw Stock Exchange. An amount equal to the net proceeds from the issuance will be allocated to financing the eligible assets portfolio under PKO Bank Polski’s green bond framework.”

    Earlier in 2024, White & Case advised PKO Bank Hipoteczny on PLN 500 million mortgage-covered bonds issuance (as reported by CEE Legal Matters on July 18, 2024) as well as on its PLN 1 billion issuance of mortgage-covered bonds (as reported by CEE Legal Matters on April 5, 2024). The firm also advised PKO Bank Hipoteczny on all three of its 2023 issuances of PLN-denominated covered bonds under its International Covered Bond Program (as previously reported by CEE Legal Matters on November 8, 2023July 4, 2023, and February 15, 2023).

  • Clyde & Co and CMS Advise on Financing for Panattoni Park Bierun I Investment Project

    Clyde & Co has advised Panattoni on financing for the Panattoni Park Bierun I investment project from Alior Bank. CMS advised the bank.

    According to Clyde & Co, Alior Bank granted development facilities and VAT for the realization of the industrial project in Bierun. “Panattoni Park Bierun I is a modern industrial park located in a strategic area close to the main transport arteries of the Silesia region. Its first tenant is Nodium Group, the owner of Sport-Shop.pl.”

  • Norton Rose Fulbright and Rymarz Zdort Maruta Advise on PVE Group-Sponsored PV Portfolio

    Norton Rose Fulbright has advised mBank on the financing for the construction of a 52-megawatt solar PV portfolio sponsored by PVE Group. Rymarz Zdort Maruta advised the PVE Group. EFK Legal reportedly advised PVE Group shareholders.

    According to Norton Rose, “all the projects are being constructed by PVE Construction, the PVE Group entity. This financing is a significant step in the PVE Group’s transformation from a renewable energy developer to an independent power producer.”

  • A&O Shearman and Linklaters Advise on BGK’s Notes Issuance

    A&O Shearman has advised Bank Gospodarstwa Krajowego on the successful issuance of EUR 1.5 billion 3.875% notes due 2035, and EUR 750 billion 4.250% notes due 2044, with Banco Santander, BNP Paribas, ING, J.P. Morgan and Societe Generale as the joint lead managers. Linklaters advised the joint lead managers.

    Bank Gospodarstwa Krajowego is the Polish state development bank.

    According to A&O Shearman, these notes, guaranteed by the State Treasury of the Republic of Poland, will finance the COVID-19 Response Fund.

  • Rymarz Zdort Maruta Advises Arcus Infrastructure Partners on Acquisition of FixMap

    Rymarz Zdort Maruta has advised Arcus Infrastructure Partners on its acquisition of FixMap. WKB Lawyers reportedly advised FixMap founder Piotr Muszynski as the seller.

    Arcus Infrastructure Partners is an infrastructure fund.

    FixMap is a Polish fiber-to-the-home business.

    According to Rymarz Zdort Maruta, “as a result of the transaction, Arcus European Infrastructure Fund 3 SCSp acquired a majority shareholding in the company, while its founder, Piotr Muszynski, retained a minority interest and the position of President of the Management Board.”

    Schoenherr has advised Tuplex on its acquisition of a stake in Sico Polska from Aleksander Goldschnedier, Piotr Klamecki, Ewelina Malinska, and Celina Zduniak.

    Tuplex operates in the plastics industry in Poland and Central and Eastern Europe. Operating for nearly 35 years, it offers products specifically geared toward the advertising, construction, and industrial sectors.

    Sico Polska is a Polish company operating in the digital printing sector.
