  • Schoenherr Advises Noctiluca on WSE Main Market Debut

    Schoenherr has advised Noctiluca on its transition from NewConnect to the Warsaw Stock Exchange’s regulated market.

    Noctiluca is a technology company focused on the development of advanced chemical compounds that serve as a key component in OLED panels, including displays and light sources.

    According to Schoenherr, the listing follows the approval of the company’s prospectus by the Polish Financial Supervisory Authority on November 8, 2024.

    The Schoenherr team included Partner Szymon Okon, Counsel Dawid Brudzisz, and Associates Urszula Sleszycka and Olga Koncerewicz.

  • Jakub Celinski and Pawel Grabowski Appointed as New Managing Partners at Dentons in Poland

    Jakub Celinski and Pawel Grabowski have been elected as the new Managing Partners of Dentons’ Warsaw office with their term to begin on January 1, 2025.

    Celinski and Grabowski will succeed Partners Anna Pukszto and Bartlomiej Kordeczka.

    Grabowski has been with Dentons since the beginning of his career having joined legacy firm Salans in 2001. His primary areas of focus are M&A and private equity transactions.

    Celinski has been with Dentons since 2016. Before joining the firm, he was with Backer McKenzie for over 20 years between 1996 and 2016. He is also the firm’s Head of Europe Equity Capital Markets practice.

  • Dentons and A&O Shearman Advise on Sale of Sofitel Grand Sopot Hotel to Sinfam Investments

    Dentons has advised Orbis on the sale of the five-star Sofitel Grand Sopot hotel to Sinfam Investments. A&O Shearman advised Sinfam Investments.

    Orbis is a part of AccorInvest, a European hotel investor and operator. 

    Sinfam Investments is a Polish company investing in premium hotel properties.

    According to Dentons, Accor Group will continue to operate the hotel. “With almost 100 years of history, Sofitel Grand Sopot is one of the most prestigious hotels in Poland. The property is located on the Sopot beach, near the longest wooden pier in Europe. Hotel guests can enjoy a private beach, a garden, 126 rooms, and suites that perfectly reflect the unique atmosphere of the seaside resort.”

    In 2019, Dentons advised on Orbis’ separation of business and sale to Accor Hotel Group (as reported by CEE Legal Matters on July 2, 2019) as well as on the earlier Accor Hotels’ tender offers (as reported by CEE Legal Matters on January 25, 2019).

  • DWF Advises Gulermak Invest on Acquisition of Photovoltaic Farm in Poland

    DWF has advised Gulermak Invest on the acquisition of a photovoltaic farm exceeding 40 megawatts in capacity from Sylwia Bojar-Chlodecka and Krzysztof Bojar. Czupajlo, Ciskowski & Partnerzy reportedly advised the sellers.

    Gulermak specializes in engineering projects, focusing on hydroelectric power plants and natural gas combined cycle power plants. According to DWF, the transaction supports the company’s continued growth in the renewable energy market.

  • Linklaters and Dentons Advise on Investika’s Acquisition of P180 Office Building in Warsaw

    Linklaters has advised Investika Real Estate Fund on its joint venture with BUD Holdings for the acquisition of the P180 office building in Warsaw from Skanska Commercial Development Europe. Dentons advised Skanska.

    Investika Real Estate Fund is an open-ended mutual real estate fund.

    According to Linklaters, “completed in 2022, P180 is strategically located in the Mokotow office hub. The 15-floor office building offers 32,000 square meters of premium office and retail premises and is nearly fully leased.”

    In 2023, Linklaters advised on Investika and Bud Holdings’ acquisition of Royal Trakt offices from Patrizia (as reported by CEE Legal Matters on August 4, 2023). In 2022, the firm advised Investika on its acquisition of the Tensor Office Park (as reported by CEE Legal Matters on May 26, 2022) and on Investika and Bud Holdings’ acquisition of Luzycka Office Buildings (as reported by CEE Legal Matters on November 23, 2022). In 2021, Linklaters advised the company on its acquisition of the Poznan Office Center (as reported by CEE Legal Matters on March 12, 2021).

    In 2023, Linklaters advised on Echo Investment’s sale of Face2Face business campus in Katowice to a joint venture of Investika and Bud Holdings (as reported by CEE Legal Matters on January 10, 2023).

  • Dentons Advises ING and Jyske Bank on Umove Refinancing

    Dentons, working with Kromann Reumert, has advised mandated lead arranger, original lender, and facility agent ING Bank and mandated lead arranger, original lender, RCF lender, and security agent Jyske Bank on the DKK 1.565 million refinancing of Umove. Watson Farley & Williams reportedly advised Umove.

    According to Dentons, Umove is Denmark’s largest privately-owned public transport provider. The transaction follows Umove’s acquisition by JP Morgan Asset Management’s Global Transportation Group from Cube Infrastructure Managers. The refinancing included senior facilities – covering working capital and future capital expenditure – and green loan features.

    Umove operates a fleet of more than 500 buses for urban and interurban connections and was the first in Denmark to run an entirely electric fleet in city operations.

  • Linklaters Advises Resi4Rent on Land Plot Acquisition in Wroclaw

    Linklaters has advised Resi4Rent on the acquisition of a plot of land on Horbaczewskiego Street in Wroclaw.

    Resi4Rent is a Polish subscription-based apartment rental provider. According to Linklaters, following the acquisition, the site was developed into the Wroclaw Park Zachodni residential complex, offering 301 units. This project marks Resi4Rent’s fifth development in Wroclaw since it entered the market in 2019. 

    Earlier in 2024, Linklaters advised Resi4Rent on its acquisition of a land plot in Lodz (as reported by CEE Legal Matters on October 29, 2024). In 2020, Linklaters advised Resi4Rent on the acquisition of residential buildings in Warsaw, Wroclaw, and Lodz (as reported by CEE Legal Matters on December 30, 2020) as well as on another acquisition of an apartment building in Wroclaw as reported by CEE Legal Matters on January 17, 2020).

  • SSK&W Advises ASP Capital on Investment into Cyber360

    SSK&W has advised ASP Capital on its investment into Cyber360.

    ASP Capital is a family investment office in Poland.

    Cyber360 is an IT company operating in the field of cybersecurity. According to SSK&W, the company develops the “Cyberdefender service, which provides customers with, among others: compliance with the NIS2 directive.”

  • A&O Shearman and CMS Advise on Immobel’s Sale of Cloud One Gdansk Hotel to Invesco Real Estate

    A&O Shearman has advised Immobel on the sale of the Cloud One Gdansk hotel in Poland to Invesco Real Estate. CMS advised Invesco Real Estate.

    Cloud One Hotels is a lifestyle brand introduced by the Motel One Group in 2022. According to A&O Shearman, “located on Gdansk’s Granary Island (Wyspa Spichrzow), the hotel is situated in close proximity to the historic old town. The property has been awarded a BREEAM Very Good certification. In 2020, Granary Island won the MIPIM Award in the Best Urban Project category.”

    The A&O Shearman included Partner Michal Matera, Senior Associate Malgorzata Jastrzebska, Associate Katarzyna Fus-Starzec, and Lawyer Aleksander Tarasiewicz.

  • Wolf Theiss Advises Posella and Pale Fire Capital on Acquisition of Fly.pl

    Wolf Theiss has advised Posella Limited and Pale Fire Capital on their acquisition of Fly.pl from Grzegorz Bosowski.

    The transaction’s financial terms were not disclosed.

    Posella Limited, based in Larnaca, Cyprus, focuses on high-potential investments in media, price comparison, financial distribution, and real estate. 

    Prague-based Pale Fire Capital SE invests in both public and private companies.

    Fly.pl is an independent vacation comparison platform in Poland. Founded in 2018, it offers consumers a platform to compare travel packages from different providers.

    According to Wolf Theiss, under the agreement, Skyhook – a joint venture between PFC and Posella –  acquired all of the shares from Fly.pl’s owner Grzegorz Bosowski who will continue as CEO alongside the existing senior management team.
