  • Mateusz Dereszynski Joins Eversheds Sutherland as Partner and Head of Banking & Finance

    Former Hogan Lovells Senior Associate Mateusz Dereszynski has joined Eversheds Sutherland’s Polish office as a Partner and Head of the firm’s Banking & Finance practice effective December 1, 2022.

    Specializing in banking and finance, Dereszynski was previously a Senior Associate and Head of the Property Finance Practice at Hogan Lovells, where he spent over 16 years, from 2007 to 2022. Before that, he was a Lawyer with the Beata Szwedzik law office from 2004 to 2007.

    “Mateusz is a recognized lawyer experienced in all areas that are crucial for us, which allows us to further develop our current strategy,” Eversheds Sutherland Poland office Co-Managing Partner Ewa Szlachetka commented. “I keep my fingers crossed for the success of Mateusz and his team, which will soon be expanded by more specialists.”

  • Rymarz Zdort and Maruta Wachta Come Together To Form Rymarz Zdort Maruta

    Rymarz Zdort and Maruta Wachta have announced they will merge into Rymarz Zdort Maruta.

    According to the firms, the merger under an “equal partnership model” will take place at the beginning of 2023 with the offices of Rymarz Zdort set to act as the headquarters of the new firm.

    At the time of the announcement, the Rymarz Zdort team included Managing Partners Pawel Rymarz and Pawel Zdort and Partners Karina Aust-Niewiadomska, Ewa Bober, Marek Durski, Piotr Fedorowicz, Zsofia Frydrychowicz, Lukasz Gasinski, Iwona Her, Monika Kierepa, Robert Krasnodebski, Filip Lesniak, Marek Maciag, Magdalena Pyzik-Walag, Jakub Rachwol, Krzystof Sajchta, Leszek Tokarski, Jakub Zagrajek, Jacek Zawadzki, Anna Zorya, and Lukasz Zak.

    The Maruta Wachta team included Managing Partners Marcin Maruta and Bartholomew Wachta and Partners Damian Gudel, Slawomir Kowalski, Michal Kulesza, Malgorzata Kurowska, Zbigniew Okon, Michal Pekala, Bartosz Romanowski, Marcin Serafin, Paul Tobiczyk, and Maciej Zackiewicz.

  • Former BDO Legal Team Spins Off To Launch Forton Legal in Poland

    Former BDO Legal-affiliated firm BDO Legal Latala i Wspolnicy has spun off to launch Forton Legal in Poland with Wieslaw Latala and Katarzyna Zajan-Aydogan as Partners.

    According to a firm announcement, Forton Legal will focus on corporate/M&A, capital markets, and real estate and construction.

    “The partners of the law firm, Wieslaw Latala and Katarzyna Zajan-Aydogan, assure that farewell with the BDO Legal network was a thought-out decision, and clients will get unchanged quality of services and their scope,” a firm press statement read.

  • Greenberg Traurig Launches ESG Practice in Warsaw

    Greenberg Traurig’s Warsaw office has launched its new Environmental, Social, and Governance practice led by Senior Associate Joanna Kuc.

    According to Greenberg Traurig, the new “ESG team consists of several lawyers at various levels of seniority with vast experience in regulatory, transactional, corporate governance, environmental, energy, employment, and compliance matters to support building and developing sustainable businesses.”

    Kuc has been with Greenberg Trauring for over a year and a half, having joined the firm in May 2021. Earlier, she spent over a year with Noerr and, before that, over four and a half years with Clifford Chance, as a Senior Associate, between 2015 and 2020. Kuc began her career as an Associate with White & Case, in 2014.

    “There is no doubt that ESG issues have been gaining importance for all of us, including business, and I strongly believe that in the coming years this trend will only intensify,” Kuc commented.

  • SSW Advises Photon Energy on Acquisition of Shares in Lerta

    SSW Pragmatic Solutions has advised the Photon Energy Group on the increase of its stake in Lerta from 24.27% to 56.75% through an acquisition from PGE Ventures, Newberg, and the ASI Valuetech Seed Fund for approximately EUR 6.9 million.

    Lerta is a Polish company based in Poznan and founded in 2016. It uses a proprietary AI software platform to provide renewable energy asset optimization and energy flexibility services.

    Photon Energy, based in the Netherlands, provides solar energy solutions in the markets of Central and Eastern Europe and Australia. It has been listed on the WSE’s main market since January 2021.

    According to SSW, “Photon is now the majority shareholder in Lerta and aims to acquire the remaining shares from its two founders before the end of 2022. Lerta’s entry into the Photon Energy Group will give the group electricity trading licenses in six countries, plus a modern and scalable Virtual Power Plant platform. It is the third biggest player in the Polish Demand Side Response market, with 150 megawatts of capacity contracted for 2023.”

  • SLAPP – a Global Legal Problem That, If Unchecked, Could Stifle Freedom of Expression

    History shows that the last bastion of freedom of speech, which guarantees these values, is the free press. But it’s no secret that since 2015, key constitutional values have been in crisis. Over the past three years, there have been repeated legal actions by state institutions, state-owned companies, businessmen and other lobbying organizations aimed at stifling the work of journalists, publishers and NGOs.

    This is typically occurs via the initiation of frivolous legal proceedings, used solely to intimidate and silence journalists by forcing them into a time-consuming and costly defense against groundless accusations. Figures indicate that more than 90 percent of pleadings that are levelled against clients in the media sector may now qualify as SLAPPs (Strategic Lawsuit Against Public Participation).

    In our daily work on behalf of a leading media company in Poland and the journalists working there, we make sure that our client’s business objectives and its role in society are consistently fulfilled.

    Active and effective defense of the media

    Individuals in the public eye often are opposed to journalists making public statements or accusations which may be damaging to their reputation, including bribery, embezzlement of public money, controversial military procurement, questionable reprivatization, reorganization of the justice system, or discharge of toxic chemicals into local water supplies or rivers.

    In these situations, lawsuits or indictments can be filed with the intention of silencing these critical voices and preventing journalists from investigating and disclosing information in the public interest.

    We actively participate in the defense of media and journalists who have the courage to report irregularities regardless of the consequences that follow.

    Anti-SLAPP methods: how can we help?

    We uphold the right to the freedom of information and the freedom of speech. We believe that journalists must follow their calling with integrity, to inform society regarding any suspicious or questionable activities or irregularities, and so we effectively defend against SLAPP attacks.

    We are campaigning and lobbying for the introduction of anti-SLAPP regulations. Following the example of the US, Canada, and Australia gained through 20 years of experience in media disputes, we have developed a legal mechanism that allows defendants to seek discontinuance of proceedings due to identifying and classifying the nature of the original lawsuit as a SLAPP.

    Our efforts are consistently geared towards influencing the EU to finally produce a solid proposal on the topic of SLAPPs, including introducing a system of anti-SLAPP motions in all Member States.

    Such a bill is being drafted based on a directive of the European Parliament and the Council on the protection of persons who engage in public debate from patently groundless or abusive legal proceedings, with legislation expected to come into force in 2024.

    In today’s world, it is hard to see Poland readily implementing such a directive into its domestic legal system. The safeguards provided by the directive blatantly devalue the power of legal instruments routinely used by state authorities and others, on which the de facto implementation of the directive depends.

    However, this does not change the fact that, in light of the case law of the Court of Justice of the European Union, if a country fails to implement this directive, a citizen has the right to invoke the directive directly against any provisions of national law that do not comply with the directive.

  • Clifford Chance Advises on Expansion and Financing of Construction for Third Baltic Hub Terminal

    Clifford Chance has advised Baltic Hub on the expansion and refinancing of its existing debt and the construction of the third deep-water sea container terminal in Gdansk.

    According to Clifford Chance, “Baltic Hub (DCT Gdansk) is one of the fastest growing in the world and the largest container terminal in the Baltic Sea, regularly serving the world’s largest container vessels. Financing in the total amount of EUR 863.5 million was granted to companies Baltic Hub and DCT Gdansk,” from a consortium of 11 lenders.

    In 2019, Clifford Chance advised Macquarie Infrastructure and Real Assets and Australian pension funds MTAA Superannuation Fund, Statewide Superannuation Fund, and Westscheme Fund on the sale of DCT Gdansk to a consortium of PSA International Ptd Ltd, the Polish Development Fund, and the IFM Global Infrastructure Fund (as reported by CEE Legal Matters on March 21, 2019).

  • Katarzyna Czwartosz-Liber and Monika Duzynska Make Local Partner at White & Case

    Former Counsel Katarzyna Czwartosz-Liber and former Associate Monika Duzynska have been promoted to Local Partners with White & Case’s Warsaw office, effective January 1, 2023, as part of the firm’s global promotion round. 

    Specializing in real estate, Czwartosz-Liber has been with White & Case since 2005, having first joined as an Associate and being promoted to Counsel in 2019. Earlier, she was a Lawyer with Kancelaria Prawna Maximus between 2004 and 2005.

  • SK&S Advises Altiplano on Opole Wind Farm Construction

    Soltysinski Kawecki & Szlezak has advised Altiplano on the construction agreement for a 137-megawatt wind farm with a consortium of ONDE and P&Q.

    According to SK&S, the wind farm consists of 38 wind turbines with associated infrastructure and is located in the Opole Voivodship. The total value of the contract is approximately PLN 200 million.

    Altiplano is primarily engaged in the implementation of projects in the area of renewable energy sources, mainly wind energy.

    ONDE is a general contractor of wind farms in Poland. P&Q operates in the engineering services industry.
