  • ZIC Legal Advises Pell Network | BTC Restaking on Public Offering and Token Listing

    ZIC Legal has advised Pell Network | BTC Restaking on its public offering on xLaunchpad, which raised USD 1.5 million, and on its subsequent token listing on Bybit. 

    Pell Network | BTC Restaking is a decentralized finance company. According to ZIC Legal, the platform is engineered as an omnichain restaking network that aggregates BTC and EGLD staking alongside LST restaking services, addressing growing demands for secure, scalable, and decentralized infrastructure in the crypto space.

    The ZIC Legal team included Partners George Zlati, Adina Ionescu, and Simona Chiperi.

  • Dorota Mazurek-Zaprawa Becomes International Legal Team Manager at Orlen

    Dorota Mazurek-Zaprawa was appointed to International Legal Team Manager at Orlen.

    Mazurek-Zaprawa has been with Orlen since 2011, joining the company as a Legal Counsel.

    Earlier, she worked for Clifford Chance as an Associate between 2008 and 2011. Earlier still, she worked as a Junior Associate for the Bogdan Dzudzewicz Legal Office.

  • Hartwig Kienast Joins Kinstellar as Partner in Vienna

    Hartwig Kienast has joined Kinstellar’s Vienna office as a Partner. 

    Kienast specializes in M&A, private equity, and venture capital transactions, as well as corporate reorganizations. 

    Prior to his move, Kienast was a Partner with Wolf Theiss between 2015 and 2025. Before that, he worked at the firm as a Counsel between 2013 and 2015 and as a Senior Associate between 2009 and 2013. Earlier, he worked for BPV Huegel as an Associate between 2007 and 2009 and, earlier still, for CMS as an Associate between 2006 and 2007. He began his career as an Associate with Deloitte Legal where he worked between 2004 and 2006.

    The hire follows the recent addition of Philipp Kapl as a Partner (as reported by CEE Legal Matters on February 7, 2025). Kinstellar launched its Vienna office this year, with Horst Ebhardt at its helm (as reported by CEE Legal Matters on January 6, 2025).

  • Jan Prochazka Joins Havel & Partners as Partner

    Jan Prochazka has joined Havel & Partners as a Partner in the firm’s Banking & Finance practice group.

    According to Havel & Partners, Prochazka will “lead the further development of this specialized practice, which includes a team of 30 experienced lawyers, including six partners.” He also specializes in labor law.

    Before the move, Prochazka was a Partner with Deloitte Legal between 2017 and 2025. Before that, he was an Associate Partner between 2014 and 2017 and a Managing Associate between 2011 and 2014. Earlier, he worked with Ambruz & Dark as a Junior Lawyer between 2006 and 2011 and as a Paralegal between 2003 and 2006.

  • Lambadarios and Kyriakides Georgopoulos Advise on Halcyon Equity Partners’ Investment in Wheelsys

    Lambadarios has advised Halcyon Equity Partners AIFM on its investment in Wheelsys. Kyriakides Georgopoulos advised Wheelsys and its founders Vasilis Devletoglou and Vana Papadimitriou.

    Wheelsys, also known as Wheels Car Rental System, is a Greek SaaS provider for the car rental and leasing sector. According to Lambadarios, this investment aims to accelerate Wheelsys’ growth and innovation.

    The Lambadarios team included Managing Partner Constantinos Lambadarios, Partner Melina Katsimi, Senior Associate Margarita Kontogeorgou, and Associate Virginia Kyrlakitsi.

  • Brandl Talos Advises Highland Europe on Leading a EUR 55 Million Series B Round for N8N

    Brandl Talos has advised Highland Europe on leading a EUR 55 million series B funding round for Berlin-based N8N which also saw the participation from HV Capital and previous investors Sequoia, Felicis, and Harpoon. Wuertenberger reportedly advised Highland Europe as well. V14 reportedly advised N8N.

    N8N is an AI workflow automation platform for technical teams founded in 2019 by Jan Oberhauser. 

    According to Brandl Talos, following a year of explosive growth, N8N has surpassed 230,000 active users and achieved a 5 times increase in annual recurring revenue, paving the way for accelerated enterprise expansion and further community strengthening.

    The Brandl Talos team included Partners Roman Rericha and Adrian Zuschmann.

  • NKA Advises EP Group on Securing Regulatory Approvals for Acquisition of Royal Mail

    Nedelka Kubac Advokati has advised EP UK Bidco on regulatory approvals for its acquisition of International Distributions Services. Kirkland & Ellis reportedly advised EP UK Bidco as well. Slaughter and May reportedly advised International Distributions Services.

    According to NKA, “the value of the transaction is estimated at CZK 107.3 billion. This is the largest Czech investment abroad in history.”

    Publicly traded International Distributions Services owns the British postal service Royal Mail and the global logistics group GLS.

  • Rymarz Zdort Maruta Advises on Accelerated Book-Building of Shares in Vercom

    Rymarz Zdort Maruta has advised Erste Group Bank as the sole bookrunner and Erste Securities Polska as the Polish offering agent on the accelerated book-building process for shares in Vercom. 

    Vercom is a provider of communication services employing a SaaS model, enabling customers to build relationships through channels such as SMS, email, and push notifications.

    According to Rymarz Zdort Maruta, this process facilitated the sale of 2,685,500 shares listed on the Warsaw Stock Exchange, representing approximately 12.08% of Vercom’s share capital. The shares were sold by Lithuanian shareholders – Ignas Rubezius, Ilma Nausedaite, and Ad Hoc Technologijos, UAB – and were offered exclusively to select institutional investors or those investing at least EUR 100,000 per investor. The sale price was set at PLN 110 per share, with the total transaction value nearing PLN 300 million.

  • CMS and Deloitte Legal Advise on PGE Group’s PLN 12 Billion Financing from BGK

    CMS has advised PGE Polska Grupa Energetyczna on over PLN 12 billion in financing from Bank Gospodarstwa Krajowego under the National Recovery Plan. Deloitte Legal advised BGK.

    PGE Group is the largest power production company in Poland. According to CMS, the funds will be allocated to two of PGE Group’s companies for the development and modernization of its power grids: PGE Dystrybucja and PGE Energetyka Kolejowa. PGE will allocate over PLN 9.5 billion to PGE Dystrybucja to boost its ability to integrate renewable energy sources and modernize its power grid. In addition, PGE Energetyka Kolejowa will receive over PLN 2.5 billion to strengthen security, improve energy quality, and expand the connection capacity for renewable energy sources to the distribution network that supplies the Polish railway and its ecosystem.

    The Deloitte Legal team included Partner Mariusz Banas and Senior Associate Tomasz Pawlowski.

  • TGS Baltic Advises Soldera on Investment Round Led by Lifeline Ventures

    TGS Baltic has advised Soldera on its approximately EUR 2.5 million investment round led by Nordic VC fund Lifeline Ventures.

    Estonian investors Notorious and Lemonade Stand also participated in the round.

    According to TGS Baltic, Soldera is a GreenTech startup applying artificial intelligence to transform renewable energy finance.

    In 2024, TGS Baltic advised Soldera on the launch of a renewable energy certificate of origin management platform (as reported by CEE Legal Matters on March 29, 2024).
