  • Asters Advises EBRD on EUR 15 Million Financing for Yuria-Pharm

    Asters has advised the European Bank for Reconstruction and Development on a EUR 15 million loan to Yuria-Pharm.

    Yuria-Pharm is a Ukrainian pharmaceutical company.

    According to Asters, the financing will support the company’s investment plans in both Ukraine and Uzbekistan. In Ukraine, Yuria-Pharm plans to certify its production under the EU Good Manufacturing Practice standard, install solar panels, and carry out critical IT upgrades. In Uzbekistan, the loan will be used to expand production facilities, install solar panels, and improve energy efficiency.

    Earlier, in 2020, Asters advised the EBRD on a EUR 25 million financing to Yuria-Pharm (as reported by CEE Legal Matters on July 1, 2020).

    Ridango, established in 2009, focuses on intelligent transportation software for public transport authorities, municipalities, cities, and private transport operators.

    Kinstellar has advised Veolia on the acquisition of an additional 15% stake in Veolia Energie CR from CEZ, increasing Veolia’s shareholding to over 98%. Skils reportedly advised CEZ.

    According to Kinstellar, this milestone reinforces Veolia’s long-term collaboration with CEZ and further strengthens its position in the Czech energy market, in line with its GreenUp strategy aimed at transitioning to cleaner, local, and decarbonized energy sources.

    According to Linklaters, located near Gdansk and close to the S6 expressway, the combined properties offer 78,486 square meters of leasable area and are fully let to a diverse range of tenants.

    TGS Baltic has advised AS Estiko on the sale of a 49% stake in Estiko Energia to UBRE Solar Ky. Sorainen reportedly advised UBRE Solar Ky.

    AS Estiko is a Southern Estonia-based investment group with interests in packaging, real estate, accommodation services, and energy. Estiko Energia is its subsidiary focused on renewable energy and the operator of a solar photovoltaic park near Tartu.

    UBRE Solar Ky is part of United Bankers Group, a Finnish asset manager listed on Nasdaq Helsinki.

  • Integrites and Sayenko Kharenko Advise on Cohen Circle’s Business Combination Agreement with JSC Kyivstar in Preparation for NASDAQ Listing

    Integrites, working with Morgan, Lewis & Bockius, has advised Cohen Circle Acquisition Corp I on a business combination agreement with JSC Kyivstar. Sayenko Kharenko, working with Latham & Watkins, advised JSC Kyivstar’s parent company Veon.

    Cohen Circle is a US-based investment firm.

    JSC Kyivstar is a Ukrainian telecommunications company.

    According to Integrites, this transaction is a key step in Cohen Circle’s strategy as it prepares for a business combination planned for the third quarter of 2025, after which Kyivstar’s parent company Kyivstar Group will be listed on the Nasdaq Stock Market under the ticker symbol KYIV.

  • CK Legal Advises PCC Rokita on Base Prospectus for Bond Issuance Program

    CK Legal Chabasiewicz Kowalska has advised PCC Rokita on the base prospectus for its ninth bond issuance program.

    According to CK Legal, “under the prospectus, PCC Rokita may issue bonds with a total nominal value of up to PLN 200 million.”

    PCC Rokita is a chemical company in Poland. It is a producer of specialized chemical products and industrial formulations, widely used in industries such as plastics, construction, textiles, paints, and coatings. The company has been listed on the Catalyst market since 2011 and on the main market of the Warsaw Stock Exchange since 2014.

  • Freshfields Advises Cinven on Sale of Viridium Group

    Freshfields has advised Cinven on the sale of Viridium Group to a consortium comprising Allianz, BlackRock, T&D Holdings, Hannover RE, and Generali. 

    The transaction remains contingent on regulatory approval.

    Cinven is an international private equity firm with offices in London, New York, Frankfurt, Paris, Milan, Madrid, Guernsey, and Luxembourg.

    According to Freshfields, Viridium Group is a life insurance consolidator, managing EUR 67 billion of assets, 3.4 million policies, and employing about 900 professionals. Established initially as Heidelberger Leben in 2014 by the Cinven Funds, Viridium Group has since transformed under Cinven’s support – implementing an improved asset management strategy.

  • Taylor Wessing Advises Peak on Sale to UiPath

    Taylor Wessing has advised Peak on its acquisition by UiPath.

    Peak is an inventory and pricing optimization company headquartered in Manchester.

    UiPath is an enterprise automation and AI software company founded in Romania.

    According to Taylor Wessing, Peak is set to scale its solutions globally as part of UiPath’s next-generation, AI-driven agentic applications powered by large language models.

  • Management Structure Redesign at NNDKP as It Celebrates 35 Years Anniversary

    As Nestor Nestor Diculescu Kingston Petersen celebrates 35 years of activity, the firm announced Executive Partners Adina Chilim-Dumitriu and Emil Bivolaru are joining its management structure alongside Co-Managing Partners Ion Nestor and Manuela Nestor.

    According to NNDKP, the two Executive Partners will gradually “take over certain operational management responsibilities within the firm for a two-year term” with Chilim-Dumitriu and Bivolaru taking point for the 2025-2026 term.

    Moreover, the firm stated that Founding Partners Ion Nestor, Manuela Nestor, and Ana Diculescu-Sova will “remain fully involved in the activity of the firm to ensure a successful transition and that the core values of the firm are preserved and passed on to the new generations of lawyers.”

    Chilim-Dumitriu is the Co-Head of NNDKP’s Public Procurement and PPP practice as well as the Corporate/M&A practice. She has been with the firm since 1997 when she joined as a Junior Associate. She became an Associate in 1999, a Senior Associate in 2000, and a Partner in 2004.

    Bivolaru is a Partner in the Dispute Resolution practice at NNDKP. He first joined the firm in 2001 and made Partner in 2008.
