  • WKB Advises European Energy on Sale of Wind Farm Portfolio to Enea Nowa Energia

    WKB Wiercinski Kwiecinski Baehr has advised European Energy on its sale of a wind farm portfolio to Enea Nowa Energia in a transaction valued at PLN 914.8 million. NGL Legal reportedly advised Enea Nowa Energia.

    European Energy is a Danish renewable energy company that develops, finances, builds, and operates wind and solar farms.

    Enea Nowa Energia, a subsidiary of the Polish energy group Enea, is responsible for investments in renewable energy sources and plays a role in expanding the group’s RES portfolio.

    According to WKB, European Energy and Enea Nowa Energia concluded preliminary share purchase agreements for the sale of companies owning six operating wind farms with a total installed capacity of 83.5 megawatts, and an option to purchase a photovoltaic farm project with a capacity of 25 megawatts.

  • Dina Salapic and Andrej Zmikic Become Partners at DTB

    Divjak, Topic, Bahtijarevic & Krka has promoted Dina Salapic and Andrej Zmikic to Partner in a promotion round that also saw Sanja Novoselic and Dominik Glavina promoted to Senior Attorneys at Law.

    Salapic’s primary area of focus is corporate and M&A as well as banking & finance. She has worked for DTB since 2019 when she joined as an Attorney at Law. She was promoted to Senior Attorney at Law in 2024. Earlier, she worked for Ostermann & Partners (now Ostermann Ivancic) as an Associate between 2015 and 2018 and as an Attorney at Law between 2018 and 2019.

    Zmikic is DTB’s Head of our Employment Department. He has worked for the firm since 2014 when he joined as an Associate. In 2018, he became an Attorney at Law and, in 2022, took over the helm of the Employment department.

  • Reff & Associates Advises Smart ID Technology on Acquisition of AB Systems

    Deloitte Legal-affiliated firm Reff & Associates has advised Smart ID Technology on the acquisition of a majority stake in AB Systems. EY Law’s affiliate law firm Bancila, Diaconu si Asociatii reportedly advised the sellers.

    The transaction remains contingent on regulatory approval.

    Smart ID Technology is part of the Sarmis Capital portfolio and is a specialist in process automation.

    AB Systems is a manufacturer of durable barcode labels and RFID smart labels, serving companies in the automotive, logistics, and retail sectors.

    According to Schoenherr, Unity Care and Salus focus on delivering outpatient medical care, ensuring better access to essential healthcare services for patients in smaller communities.

  • Norton Rose Fulbright Advises Robert Dobrzycki on Acquisition of Majority Stake in Widzew Lodz

    Norton Rose Fulbright has advised Panattoni president and co-owner Robert Dobrzycki on its acquisition of a majority stake in Widzew Lodz football club from Tomasz Stamirowski.

    Panattoni is a real estate development firm operating in Europe, India, and Saudi Arabia.

    Founded in 1910 and based in Lodz, Widzew Lodz won four Polish championship titles and also had a Polish Cup victory in 1985. The club has also made its mark in Europe, reaching the semi-finals of the European Cup in 1983 and participating in the UEFA Champions League group stage in 1996.

    RTPR and Karanovic & Partners have advised MidEuropa on the sale of Regina Maria Group to Mehilainen. White & Case advised Mehilainen. Kinstellar advised Blue Sea Capital on the sell-side as well. Reportedly, A&O Shearman’s London office also advised MidEuropa while Bondoc & Asociatii also advised Mehilainen.

    The transaction remains contingent on regulatory approval.

    According to RTPR, Regina Maria Group is an integrated private healthcare network in Romania, offering a range of multi-specialty outpatient and hospital services through its 300-unit network and serving over two million patients annually. The sale also includes Regina Maria’s sister company, MediGroup, a service provider in the private healthcare market in Serbia. 

    Mehilainen is a Finland-based healthcare and social care provider and is a CVC Capital Partners portfolio company.

    Blue Sea Capital is an independent private equity firm with offices in Belgrade and Zagreb, focusing on small and medium-sized enterprises in the region.

    Pohla & Hallmagi has advised Interalia on the acquisition of the laundry business of SOL Baltics. Kaevando & Partners reportedly advised SOL Baltics.

    According to Pohla & Hallmagi, Interalia operated under the trademark of Pesumaja Plus. The company acquired a total of three laundries in Tallinn.

  • A&O Shearman Advises Bank Gospodarstwa Krajowego on EUR 2.25 Billion Dual-Tranche Fixed Rate Guaranteed Notes Issuance

    Allen Overy Shearman Sterling has advised Bank Gospodarstwa Krajowego on the issuance of EUR 2.25 billion dual-tranche fixed-rate guaranteed notes with Citi, Commerzbank, ING, J.P. Morgan, and Societe Generale serving as joint lead managers.

    According to A&O Shearman, the issuance comprises EUR 1.25 billion 3.25% notes due 2030 and EUR 1 billion 4.25% notes due 2037, both guaranteed by the State Treasury of the Republic of Poland. The proceeds from this issuance will finance the Aid Fund and the National Road Fund. The notes are listed on the regulated market of the Luxembourg Stock Exchange.

  • CMS Advises UniCredit Bank on Waltrovka Office Project Financing

    CMS has advised UniCredit Bank Austria and UniCredit Bank Czech Republic and Slovakia on the financing for the Waltrovka office project for Manova Partners. Dentons reportedly advised Manova Partners.

    The Waltrovka office project is a real estate development in Prague originally undertaken by Penta Real Estate. 

    The CMS team included Prague-based Partner Petra Mysakova, Associate Vladimir Zemanik, and Lawyer Matej Eberle as well as Germany-based Partner Thomas de la Motte.
